Role Description

We are looking for a diligent and corporate-minded Legal Associate to join our Legal, Contracts and Governance function. This role supports the drafting, review and negotiation of commercial contracts, corporate compliance, multi-jurisdiction governance, and regulatory documentation across Pakistan, UAE, KSA, and other markets where Ahya operates.

The ideal candidate brings strong legal drafting skills, an understanding of technology and sustainability-focused corporate environments, and the ability to work across cross-border legal matters involving commercial, compliance, and contractual obligations.

What You’ll Do

Contracting & Commercial Support

• Draft, review and negotiate commercial agreements including SaaS contracts, NDAs, MSAs, SLAs, licensing agreements, partnership and reseller agreements, vendor contracts, consultancy agreements, and subcontractor arrangements.
• Support contract structuring and template standardisation suitable for corporate operations across Pakistan, UAE, and KSA.
• Ensure agreements reflect accurate commercial terms, corporate risk allocation, and internal compliance requirements.

Corporate Governance & Regulatory Compliance

• Assist with entity-level corporate compliance, including statutory filings, resolutions, governance registers, and required corporate documentation across Pakistan, UAE, and KSA.
• Support the legal review of operational requirements tied to regulatory frameworks in each jurisdiction, including corporate, employment, technology, sustainability and data-related laws.
• Prepare governance SOPs, internal policies, and regulatory compliance checklists.
• Handle matters relating to venture capital instruments, corporate structuring, shareholder arrangements, and investment documentation including term sheets, SAFEs, subscription agreements and cap table planning.

Advisory & Risk Management

• Provide legal advice on matters involving technology, AI, data privacy, intellectual property, sustainability regulation and cross-border corporate operations.
• Identify contractual and corporate risks and propose mitigation strategies.
• Conduct legal research and prepare briefing papers on multi-jurisdiction regulatory developments affecting Ahya’s corporate operations and product suite.

Cross-Functional Collaboration

• Work closely with Business and Finance on vendor/client onboarding, payment terms, compliance reviews and due diligence requirements.
• Support Product and Technology teams on licensing, API usage, data protection standards and client deployment documentation.
• Coordinate with HR on employment contracts, internal compliance matters and governance requirements.
• Responsible for drafting and maintaining Privacy Policies, Terms of Use and associated product documentation in accordance with applicable data protection frameworks.

Documentation & Record Management

• Maintain structured and compliant repositories for contracts, approvals, corporate filings and legal documentation.
• Track and update renewal timelines, obligations, regulatory deadlines, and corporate compliance activities.

What We’re Looking For

• Bachelor of Laws (LLB) required; LLM or international qualification preferred.
• 2–4 years of experience in corporate, commercial or technology law.
• Strong understanding of contractual drafting, intellectual property, data management rules, and corporate regulatory compliance.
• Familiarity with regulatory frameworks in Pakistan, UAE and KSA is a strong advantage.
• Excellent organisational skills, attention to detail and ability to work under tight timelines.
• Strong written and verbal communication skills.
