Job Purpose: The M&A Lawyer will support the fund's M&A and investment transactions across the full deal lifecycle, including structuring, due diligence, documentation, negotiation, and closing of infrastructure-related acquisitions, divestments, and joint ventures. The role requires strong corporate/M&A expertise, excellent drafting and analytical skills, and the ability to manage multiple workstreams while collaborating closely with investment, finance, external advisors, and counterparties to deliver legally and commercially optimized outcomes.


Tasks and Responsibilities:

  • Support the legal aspects of infrastructure M&A transactions, including acquisitions, JV, and co- investments.
  • Lead & coordinate legal due diligence processes across corporate, regulatory, and project-specific aspects.
  • Review, draft, and negotiate transaction documents, including share purchase agreements, shareholders' agreements, investment agreements, and related deal project contracts.
  • Assist in structuring transactions to ensure regulatory and tax efficiency, working with internal teams and external advisors.
  • Support fund compliance with applicable laws, regulations, and fund governance framework.
  • Prepare internal legal summaries, risk assessments, and investment committee materials from a legal perspective.
  • Liaise with external counsel across multiple jurisdictions to manage documentation and ensure alignment with deal timelines and fund standards.
  • Contribute to legal precedent management and continuous improvement of internal templates and processes.
  • Provide post-closing legal support on portfolio management matters and corporate governance documentation.


Qualifications and Experience:

  • Bachelor of Law, Commercial Law, or any related field.
  • Legal professional qualifications (e.g., SQE or Bar admission) is preferred.
  • Associate / Senior Associate Level (4-8 years) of experience in M&A or project development, ideally at a well reputed law firm or infrastructure/private equity fund.
  • Strong technical expertise in corporate law, M&A structuring, and transaction documentation.
  • Proven ability to manage multiple workstreams, coordinate external advisors, and deliver under pressure.
  • Excellent legal drafting, analytical, and negotiation skills.
