Job Description ( Company Secretary )

The Company Secretary is a key position responsible for ensuring the company's compliance with statutory and regulatory requirements, maintaining company records, and providing administrative support to the Board of Directors.

Key Responsibilities:

1. Statutory Compliance:

- Ensure compliance with the Companies Act, SEBI Regulations, and other applicable laws and regulations.

- Advise the Board on compliance matters and ensure timely filing of returns and documents.

2*. Company Records:*

- Maintain and update company records, including the Register of Members, Register of Directors, and Minutes of Meetings.

- Ensure accurate and timely recording of company transactions and decisions.

3. Board Administration:

- Coordinate and facilitate Board meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).

- Prepare and circulate agendas, minutes, and other meeting materials.

4. Shareholder Services:

- Communicate with shareholders, respond to queries, and provide information as required.

- Ensure timely payment of dividends and other distributions.

5. Corporate Governance:

- Advise the Board on corporate governance best practices and ensure compliance with relevant codes and guidelines.

- Develop and implement policies and procedures to ensure effective governance.

6. Risk Management:

- Identify and assess potential risks and liabilities, and advise the Board on mitigation strategies.

- Ensure compliance with risk management policies and procedures.

7. Other Responsibilities:

- Provide administrative support to the Board and senior management.

- Ensure maintenance of company's registered office and other administrative tasks.

Requirements:

1. Qualification

- Associate or Fellow member of the Institute of Company Secretaries of India (ICSI).

- Bachelor's degree in Law, Commerce, or a related field.

2. Experience:

- Minimum 4-6years of experience as a Company Secretary or in a related role.

- Experience in a listed company or a large private company is desirable.

3. Skills:

- Strong knowledge of the Companies Act, SEBI Regulations, and other applicable laws and regulations.

- Excellent communication, organizational, and administrative skills.

- Ability to work independently and as part of a team.

4. Reconcile accounts and perform basic accounting analysis

5. Support the accounting team in various tasks and projects

Requirements:

1. Bachelor's degree in Accounting or related field

2. Basic knowledge of accounting principles and practices

3. Proficient in accounting software (e.g., QuickBooks, Xero)

4. Strong attention to detail and organizational skills

5. Ability to work in a team environment

Job Types: Full-time, Permanent

Pay: ₹5,00,000 - ₹9,00,000. per year Depend on interview your skill & Experience
