We are a fast-growing CA firm looking for a skilled and proactive Company Secretary (CS) to independently manage end-to-end corporate compliance and secretarial functions for our diverse client portfolio. This role is ideal for someone who is structured, detail-oriented, and confident in managing statutory and ROC-related responsibilities with minimal supervision.

Key Responsibilities

  • Oversee and execute end-to-end ROC filings for client companies, including AOC-4, MGT-7/7A, DIR forms, PAS forms, INC forms, and other statutory submissions.
  • Manage company incorporations, share allotments, transfers, capital alterations, and key corporate events.
  • Draft and maintain Board/Committee/AGM notices, agendas, resolutions, and meeting minutes with accuracy.
  • Maintain all statutory registers and ensure timely updates of compliance documentation.
  • Monitor and execute annual compliance calendars for multiple clients, ensuring zero delays or defaults.
  • Handle LLP-related tasks including incorporation, agreement drafting, and filing of Form 8, Form 11, and event-based compliances.
  • Coordinate with internal CA teams for audit, valuation, financial filings, and related secretarial support.
  • Execute event-based filings including director changes, registered office changes, capital increase, charge creation/modification, and share issuance.

Qualifications

  • Qualified Company Secretary (CS) from ICSI.
  • ACS membership mandatory; FCS is a plus.
  • Strong expertise in ROC filings, corporate law, and multi-client compliance management.
  • Proficiency in drafting resolutions, minutes, notices, and statutory documentation.
  • Hands-on experience in incorporation, share allotment, transfers, and capital restructuring.
  • Good understanding of LLP incorporation and compliance procedures.
  • Strong communication skills, attention to detail, and ability to work independently.

Preferred:

  • Prior experience working in a listed company or within legal/compliance departments.
  • Understanding of IPO procedures, NRI-related compliances, and global compliance requirements.
  • Knowledge of supplementary laws, including labour regulations, taxation rules, and environmental compliance norms.
