Corporate & Finance Associate – Mid-Level to Senior

Roles and Responsibilities:

• Lead and support M&A and venture capital transactions
• Represent founders, investors, and startups throughout their lifecycle
• Draft and negotiate transactional and governance documents
• Advise clients on financings, exits, and corporate structure
• Manage portions of complex deals independently
• Collaborate with regulatory, IP, and tax attorneys internally as needed

Job Requirements:

• JD from accredited law school with strong academic performance
• 3–6 years of experience in M&A and VC/EC work (class years 2018–2022)
• Experience with venture financings, startup counseling, and private company deals
• Strong drafting, negotiation, and client-facing skills
• Licensed or eligible to become licensed in California
• Experience working with high-growth companies – preferred
• Familiarity with investor-side term sheets – preferred
• Prior in-house counsel experience with a startup – preferred

Job Type: Full-time

Pay: $200,000.00 - $400,000.00 per year
