Position Overview:

The Counsel, Franchising & Real Estate, U.S., will be responsible for franchise and real estate matters in certain regions of the U.S. for Restaurant Brands International, Inc., the owner of the BURGER KING®, TIM HORTONS®, POPEYES®, and FIREHOUSE SUBS® brands, one of the largest quick service restaurant companies in the world. The Counsel is a key member of the RBI Legal Franchise and Real Estate team and the main legal advisor to regional field operations staff including regional general managers. The Counsel will work closely with outside counsel and interact frequently with counsel for franchisees. The position is based in Miami, Florida and reports into the Vice President, Legal, for U.S. and Latin America.

Essential Duties:

  • Drafting and negotiating franchise, development and ancillary agreements, as well as agreements for the acquisition or divestiture of restaurants
  • Providing franchise compliance legal advice, including drafting default and termination notices, drafting and negotiating workout agreements, temporary licensing agreements and attending to other related enforcement matters
  • Providing legal advice in connection with U.S. franchise sales and ensuring compliance with franchise regulatory requirements, including franchise disclosure laws
  • Drafting and negotiating real estate agreements, including purchase and sale agreements and lease agreements
  • Providing legal advice on real estate matters, including condemnations, construction, environmental and property management matters
  • Draft and review franchising policies, including operational policies regulating franchisees
  • Developing training materials and conducting training of franchise and real estate personnel
  • Manage and oversee outside counsel with respect to franchising and real estate litigation.

Qualifications & Skills:

  • Juris Doctor of Law degree from an accredited law school required
  • Licensed to practice law in Florida or another state
  • Knowledge of franchise or corporate law preferred
  • Knowledge of real estate law (transactions as well as commercial leasing) preferred
  • 5-8 years of legal experience, with law firm experience required
  • Transactional experience with strong drafting and negotiating skills
  • Strong communication skills
  • Demonstrated ability to work effectively in multi-tasking environment with high volume workload
