Position – CS - Legal

Competency required: Cs, Bachelor’s/Master Degree

Experience: Minimum 5 years

Location: Nagpur (Require travelling approx. 1 week to Ahemdabad & Mumbai)

Salary : 40K - 50K Per Montrh

Reporting to: AVP/Director

Experience & Qualification

  • Qualified Company Secretary (Member of Institute of Company Secretaries of India — ICSI) + membership valid and in good standing.
  • Minimum 5 years of post-qualification experience in secretarial / legal / compliance functions in a corporate environment.
  • Strong working knowledge of Indian corporate laws (Companies Act, 2013), regulatory compliance, statutory filings, corporate governance norms; and preferably familiarity with applicable laws/regs depending on industry (e.g. SEBI, FEMA, labour/environmental laws, depending on context)
  • Excellent drafting, negotiation and communication skills — to draft/review contracts, agreements, board resolutions, legal opinions; liaise with regulatory authorities, external counsel, boards & stakeholders
  • Strong analytical, risk-assessment, and compliance discipline; ability to handle multiple statutory and legal-compliance tasks with confidentiality, integrity and timely follow-up.

Key Responsibilities

Secretarial & Governance

  • Convene and coordinate Board meetings, Committee meetings and General Meetings; prepare agendas, board packs, follow-ups, minutes and resolutions; maintain statutory records and registers (directors, shareholders, charges etc.)
  • Ensure timely filing of all statutory returns and compliance documents (annual returns, resolutions, changes in share capital / directors / KMPs etc.) with relevant authorities (e.g. Registrar of Companies / MCA / as per Companies Act) Ensure compliance with corporate governance norms, secretarial standards, and maintain transparency and regulatory adherence.

Legal & Compliance Advisory

  • Provide legal support and advice on corporate law matters, regulatory compliance, corporate governance, and risk management. Serve as internal legal counsel to the Board and Management.
  • Draft, review, negotiate and manage commercial agreements, vendor/customer contracts, joint venture / partnership agreements, share-issuance/transfer documents, mergers, acquisitions, restructuring documents etc., ensuring legal soundness and regulatory compliance. Oversee legal due diligence and compliance related to corporate actions (M&A, restructuring, share allotments or buybacks, capital raising, mergers, demergers etc.) when required.
  • Identify, assess and manage legal and compliance risks; liaise with external counsel / regulators / authorities for litigation, dispute resolution, regulatory filings, approvals, compliances as needed.

Strategic & Advisory Role

  • Guide Board and Senior Management on legal, regulatory and corporate governance best practices; interpret laws and regulations, provide timely updates on changes, and translate into actionable recommendations / compliance plans.
  • Facilitate corporate actions (capital raising, share issues, buybacks, corporate restructuring), share transfers, share-holder communications and investor relations (if applicable) under statutory compliance
  • Maintain confidentiality, integrity, ethical compliance; act as the key internal legal-compliance gatekeeper to protect company interests.

Miscellaneous / Other Legal Matters

  • Monitor other applicable laws and regulations (labour laws, environmental laws, tax/TDS compliance, sector-specific regulations, regulatory obligations like FEMA/SEBI/industry-specific laws etc., depending on company’s business). Liaise with statutory authorities, regulators, external counsel, auditors, stakeholders as required; handle legal notices, litigations/ disputes, regulatory queries, compliance audits.
  • Any other legal/secretarial assignments as entrusted by Board/ Management from time to time.

Skills & Competencies

  • Deep knowledge of Indian corporate laws, the Companies Act, regulatory & compliance frameworks, compliance best practices.
  • Strong drafting, documentation, contract-review & negotiation skills.
  • Good analytical, problem-solving, risk-assessment and decision-making abilities.
  • Excellent verbal/written communication, stakeholder management, confidentiality, integrity.
  • Able to manage multiple tasks, prioritize under deadlines, take independent decisions, coordinate with internal & external stakeholders.
  • Comfortable with travel (Ahmedabad, Mumbai)

Job Type: Full-time

Pay: ₹40,000.00 - ₹50,000.00 per month
