Cooley’s fund formation team is one of the most active in the U.S., advising on the structuring and formation of venture capital, private equity, and other alternative investment vehicles.

Roles and Responsibilities:

• Advise sponsors and investors on private investment fund structuring and formation
• Draft, review, and negotiate fund documents and LP agreements
• Work on sponsor-level transactions (GP, management company matters)
• Handle secondary transactions (LP interest sales, restructurings, etc.)
• Collaborate with tax, regulatory, and compliance teams
• Maintain strong client relationships and provide business-sensitive legal advice

Job Requirements:

• JD from an accredited law school with strong academic credentials
• 2+ years of private fund formation experience
• Experience representing both fund sponsors and investors
• Prior experience with sponsor-level and secondary transactions
• Admitted to practice in Massachusetts or eligible to waive in
• Experience at a top national or international law firm – preferred
• Background in venture capital or emerging manager space – preferred
• Familiarity with regulatory issues affecting private funds (e.g., SEC, ERISA) – preferred

Job Type: Full-time

Pay: From $235,000.00 per year
