Fund Formation Attorney

Roles and Responsibilities:

• Advise sponsors and investors in private investment funds
• Lead fund formation transactions end-to-end
• Handle sponsor-level structuring (GP and management company entities)
• Manage secondary transactions involving LP interests or portfolio companies
• Draft and negotiate fund documents
• Collaborate with tax, regulatory, and compliance teams
• Stay current on fund structuring trends and investor expectations

Job Requirements:

• JD from a nationally recognized law school
• 2+ years experience in private investment fund formation
• Experience working with LPs and GPs
• Knowledge of secondary transactions (LP and/or company interests)
• Experience from a top-tier national or international law firm
• Strong communication and drafting skills
• Able to lead deals and interface directly with clients

Job Type: Full-time

Pay: From $235,000.00 per year
