If you're passionate about innovation, technology, and growth, we invite you to be part of DayOne's next chapter.Legal Director - CorporatePosition SummaryDayOne Data Centers is seeking an experienced Legal Director - Corporate to lead and manage all legal aspects of the company's corporate transactions, including mergers and acquisitions, strategic joint ventures, financings, real estate-driven corporate structures, and other growth-related initiatives. This role is critical in supporting the company's rapid expansion across global markets and ensuring that complex transactions are executed efficiently, strategically, and in compliance with all relevant laws and internal governance standards.The ideal candidate has deep experience in M&A, private equity, corporate structuring, and cross-border transactions, preferably within infrastructure, digital infrastructure, real estate, or technology sectors.Key ResponsibilitiesM&A & Corporate Transactions Lead legal workstreams for all M&A activities, including acquisitions, divestitures, minority investments, joint ventures, partnership agreements, and strategic alliances. Oversee due diligence processes (legal, corporate, regulatory, contractual) and collaborate closely with cross-functional teams (finance, tax, real estate, operations, construction). Draft, review, and negotiate a wide range of transaction documents, including SPAs, APAs, JV agreements, shareholder agreements, NDAs, LOIs, and term sheets. Advise on transaction structuring in coordination with finance, tax, and external advisors.Corporate Governance & Compliance Manage corporate governance matters, including board approvals, entity formation, and maintenance of corporate structure across multiple jurisdictions. Ensure compliance with regulatory requirements related to foreign investments, infrastructure assets, data centers, and cross-border capital flows. Develop internal policies and governance frameworks to support M&A and investment activities.Strategic & Cross-Functional Partnership Partner with Corporate Development on deal sourcing, valuation, and integration planning. Support real estate, construction, and operations teams on corporate elements of land acquisitions, long-term leases, energy procurement partnerships, and large customer transactions. Collaborate with Finance on capital markets activities, including debt financing, project finance, and equity raises.Risk Management Identify legal risks in transactions and propose practical, business-oriented solutions. Manage external counsel: budgeting, strategy, timelines, and quality control. Ensure efficient and consistent legal processes that scale with the company's growth.QualificationsEducation & Certification Juris Doctor (JD), LLB, or equivalent law degree from a recognized institution. Active license to practice law in relevant jurisdiction(s).Experience PQE 10+ years of experience in corporate/M&A at a top-tier US law firm and/or in-house at a fast-growing company, ideally in digital infrastructure, data centers, real estate, energy, or technology. Proven track record managing complex, cross-border M&A transactions from start to completion. Experience with private equity, infrastructure funds, or large institutional investors is highly desirable.Skills & Competencies Strong negotiation skills and deep understanding of legal risks and commercial implications. Ability to handle multiple large transactions simultaneously. Exceptional communication skills, including the ability to explain complex legal topics to senior executives and non-legal stakeholders.
