Role Description

Mission: Provide assistance and advice to Saipem functions, Business Units and Operating Companies regarding any legal aspect impacting the life of the Company, the prevention and settlement of litigations.

Responsibilities

• Provide assistance and advice to Saipem functions, Business Units and Operating Companies regarding any legal aspect impacting the life of the Company, the prevention and settlement of litigations.
• Manage and coordinate (at headquarters/site level) the provisions of assistance and advice related to the prevention and settlement of disputes.
• Assist Business Units with legal issues associated with drafting negotiation documents and settlement of disputes.
• Assist Company in suits pertaining to its activities, in compliance with defined Saipem criteria and seeking external legal advice when necessary.
• Research laws, investigate facts and prepare documents to support legal activities:
  • Research and analyze sources of statutory law, final verdicts, legal articles, treaties, constitutions and codes of law, etc.
  • Assist in arbitration by handling appointed lawyers and parties in dispute.
  • Assist in disputes before judicial authorities by handling relations with Company lawyer and parties.
  • Prepare legal documents.
• Provide legal opinions relevant to any interest aspect for the Business Units and Operating Companies.
• Assist corporate functions in Mergering and Acquisitions activities such as drafting and negotiating share purchase agreements.
• Manage and coordinate (at headquarters/site level) legal activities, ensuring appropriate links with respective functions/Business Units.
• Manage and coordinate the legal firms which defend and represent Corporate and Operating Companies in Italy and abroad in front of the Courts.
• Manage all legal activities relevant to the protection of patents and brands.
• Manage and coordinate Saipem and its Operating Companies in proceedings pertaining to activities in Italy and abroad, in compliance with Saipem criteria, and where necessary, seeking external legal advice.
• Assist Company at Corporate/Operating level in any issue related to compliance and administrative responsibility.
