 About the Role
 
 
 
 We are seeking an Associate Legal Counsel to join our team in Houston. This position will provide legal support to our trading and commercial teams, with a focus on energy trading, credit arrangements, M&amp;A activity, and related transactions. The successful candidate will become a trusted partner to key stakeholders across the business, driving commercially sound legal solutions while continuously improving legal workflows.
 
 
 This will be a full-time role, owning the following responsibilities:

 Lead end-to-end negotiations of ISDA, EEI, and NAESB master agreements and WSPP and other related confirmations, driving measurable improvements in cycle time and internal coordination.

What you&rsquo;ll do&hellip;
The Assistant General Counsel (AGC) will be a key member of the legal department, supporting the General Counsel and business leadership in structuring, negotiating, documenting, and managing complex energy-sector transactions, including involving utilities, datacenters, power projects, EPC (engineering, procurement and construction) contracts and O&amp;M (operations &amp; maintenance) agreements. The role will also be responsible for providing general corporate legal support (corporate governance, commercial contracts, compliance, risk mitigation) as needed. This is an exciting opportunity for a lawyer with significant law-firm experience, comfortable with high-stakes deals, and who enjoys working in a fast-growing environment.
Key Responsibilities:<ul><li>
Supporting and leading the negotiation, drafting, review and management of a wide variety of transaction documents including:</li><li>
Equipment sales, EPC, O&amp;M contracts and related long term service contracts</li><li>
Power purchase agreements (PPAs), capacity agreements and grid services agreements</li><li>
Datacenter, commercial and industrial resiliency agreements</li><li>
Advising business teams (sales and marketing, structuring, operations, business development, commercial, engineering) on legal, regulatory and compliance risks associated with energy projects and transactions.</li><li>
Providing general corporate legal support: corporate governance, entity structuring, mergers &amp; acquisitions, capital raises (if any), commercial contracts, vendor agreements, employment/consulting agreements, intellectual property or technology matters, and compliance.</li><li>
Serving as internal business partner, providing practical legal guidance, risk assessment, and enabling the business to move quickly while controlling legal exposures.</li><li>
Helping build, improve and maintain legal and compliance infrastructure.</li><li>
Monitoring and staying current on regulatory and legal developments.</li><li>
Additional experience involving debt or equity transactions, M&amp;A, HR or general corporate matters is a plus and will be favorably considered.</li><li>
Bring a pragmatic, solutions-oriented approach that balances legal precision with commercial agility in a fast-paced, innovative energy environment.</li></ul>
Requirements:

What you&rsquo;ll need:<ul><li>
6+ years of experience at a global law firm (or equivalent in-house role) with a focus on energy transactions.</li><li>
Demonstrated experience structuring and negotiating complex commercial contracts in the energy sector.</li><li>
Strong commercial mindset, ability to translate legal issues into business-outcomes and recommendations.</li><li>
Comfort working in a dynamic, growth-oriented environment (fast-moving, cross-functional teams, multiple priorities).</li><li>
Excellent drafting, negotiation and communication skills; able to confidently work with senior executives and business stakeholders.</li><li>
Ability to work independently and collaboratively, make sound judgments, provide practical legal advice rather than just theoretical.</li><li>
Additional experience involving debt or equity transactions, M&amp;A, HR or general corporate matters is a plus and will be favorably considered.</li><li>
JD from an accredited law school, admitted to practice in Texas (active license in good standing).</li><li>
Physical requirements and working conditions: Must possess mobility to work in a standard office setting and to use standard office equipment, including a computer, stamina to maintain attention to detail despite interruptions; vision to read printed materials and a computer screen, and hearing and speech to communicate in person and over the telephone</li></ul>
