Your Role</h1>
Cradle seeking a Legal Counsel for a fully remote position based on Eastern US time. You&rsquo;ll be working alongside our current Legal Counsel (based in Zurich, Switzerland) in a lean team of two, supported by external advisers, and play a key role in supporting the business through an exciting phase of expansion.
You will provide expert legal advice on a wide variety of topics with a focus on supporting Cradle&rsquo;s commercial team. As part of a fast-growing international scale up, you&rsquo;ll ensure our contracts with customers around the globe safeguard the company&rsquo;s rights. We expect the role&rsquo;s scope to grow alongside the company&rsquo;s growth, while offering you the option to work remotely in a dynamic team environment. Your responsibilities</h1><ul><li>
Contract Management: Support across the full contract life-cycle, including drafting, reviewing, and negotiating a wide range of commercial contracts, in particular Master Services agreements with enterprise Pharma and Industrial Biotech customers, non-disclosure agreements, and partnership agreements with Contract Research Organisations (CROs), academic institutions, software providers and others.</li><li>
Template management: Draft and continuously improve contract templates and playbooks, in particular for commercial contracts.</li><li>
US Law: Advise on various US law matters, draft or review US contracts and other legal documents. This might include corporate, employment, IP or other matters.</li><li>
Regulatory Compliance: Stay abreast of existing and upcoming regulations and ensure that the company complies with relevant laws and regulations.</li><li>
Legal Risk Management: Identify and mitigate legal risks associated with the company&rsquo;s business activities.</li><li>
Liaison with External Legal Advisors: engage with external legal advisors in Switzerland, the Netherlands, the United States and other jurisdictions, for topics that require local expertise, as well as specialty areas such as intellectual property, data protection and others.</li></ul><h1 class="jobSectionHeader">
Must haves</h1><ul><li>
License &amp; Experience: US Licensed Attorney in good standing, with 5+ years in a law firm or similar in-house position. Extensive experience negotiating complex Services and/or Software-as-a-Service agreements with enterprise clients in Life Sciences, Biotech, and/or Software industries.</li><li>
Drafting &amp; Negotiation: Exceptional drafting skills, efficient and with strong attention to detail. Strong negotiator, able to strike a good balance between the protecting legal rights of the company and enabling commercial deal-making.</li><li>
Prioritisation &amp; Independence: Thrives in a fast-paced environment, enjoys wearing different hats and managing multiple tasks, and prioritises effectively. Self-starter, who can work very independently yet knows when and what to escalate.</li><li>
Communication &amp; Interpersonal: Outstanding communicator, both oral and written, with strong interpersonal skills. Thrives working collaboratively across teams, and in particular with the commercial team. Job Description Summary:
The Legal Counsel &ndash; Investments will be responsible for delivering legal support for the client investment process. This work will include reviewing and negotiating a broad range of investments, with a focus on private funds, such as hedge funds, private equity funds and venture capital funds, as well as separately managed accounts. This lawyer will work with other lawyers and staff within the global Legal and Compliance Team. There will be significant interaction with the CA investment and operations teams; external investment management firms and their legal counsel; and other external parties. In addition, the scope of work may include supporting the development, launch and maintenance of investment vehicles.
Job Description: 
<ul><li>Review and negotiate alternative investments across all asset classes, with a focus on closed-end funds (e.g., private equity funds, private credit funds, venture capital funds, secondaries funds, co-investment funds, continuation vehicles); hedge funds; separately managed accounts; and traditional long-only funds.
</li><li>Advise investment teams on commercial and legal terms governing investments. Work closely with investment teams to seek to improve those terms in favor of CA&rsquo;s clients through negotiation. Draft and edit investment documents including side letter agreements.
</li><li>Assess suitability of investments from regulatory, tax and local-law standpoints for the accounts of a broad range of Endowment and Foundation, Pension, and Private clients operating and/or formed in many jurisdictions globally. Coordinate with and manage external counsel.
</li><li>Potentially support the development, launch and ongoing operation of various CA investment vehicles, including legal, regulatory and tax structuring, and drafting / reviewing and negotiating constituent documentation (e.g., limited partnership agreements, series agreements, associated offering documents).
</li><li>Assist operations with legal questions arising in the consummation of investments.
</li><li>Gain, record and retain familiarity with the unique characteristics and requirements of many clients.
</li><li>Direct, educate and instruct investments and operations teams regarding investment fund documentation and function.
</li>Advise on corporate actions (e.g., proposed fund amendments and consents), securities laws, the Advisers Act, corporate and other matters.

</li><li>Licensed and in good standing to practice in the United States.
</li><li>3+ years of experience with a top law firm, or a combination of law firm and in-house experience.

<ul><li>General areas of law covered: discretionary and non-discretionary investment advisory services, investment management, private funds, securities, ERISA, general familiarity with U.S., U.K. and E.U. tax and regulatory matters related to private investment funds, transactional work.
</li><li>Experience with privately offered / alternative investments, and related legal documentation including partnership agreements, investment management agreements, LLC agreements, side letters, subscription agreements, NDAs, offering memoranda.
</li><li>Familiarity with institutional investment services and/or products.
</li><li>Specific experience with primary, secondary, and direct transactions in private equity and venture capital.
</li><li>Experience with regulatory, risk and compliance matters (primarily U.S., but U.K., E.U. will be helpful).
</li><li>General exposure to tax matters relating to private investment funds.
</li><li>Ability to organize and manage multiple projects simultaneously.
</li><li>Comfortable communicating with all levels of the firm (strong verbal skills).
