Senior Transactional Tax Associate

This role is within their Corporate practice, supporting middle market M&A transactions with deep expertise in transactional tax matters. Roles and Responsibilities:

• Provide tax structuring and planning support for M&A, private equity, and joint venture deals
• Draft and review tax provisions in transaction documents
• Advise on the tax implications of corporate reorganizations, partnerships, and cross-border transactions
• Collaborate with internal deal teams and external client stakeholders
• Conduct legal research and draft legal memoranda on complex tax issues
• Ensure clients’ transactions are compliant with federal and state tax laws
• Support the firm’s broader Corporate group in deal execution from a tax perspective

Job Requirements:

• JD from an ABA-accredited law school
• Licensed to practice in CA, MA, or GA (or eligible to waive in)
• Minimum 5 years of transactional tax experience, ideally from an AmLaw 100 firm
• Extensive experience advising on tax aspects of M&A, partnerships, and private equity transactions
• Strong legal research and writing skills
• Business-oriented judgment and attention to detail
• Ability to manage multiple projects independently
• LLM in Tax – preferred
• Experience with cross-border or international tax structuring – preferred
• Familiarity with tax compliance for fund formation – preferred

Job Type: Full-time

Pay: $365,000.00 - $435,000.00 per year
