This role is within their Corporate practice, supporting middle market M&A transactions with deep expertise in transactional tax matters. Roles and Responsibilities:
- Provide tax structuring and planning support for M&A, private equity, and joint venture deals
- Draft and review tax provisions in transaction documents
- Advise on the tax implications of corporate reorganizations, partnerships, and cross-border transactions
- Collaborate with internal deal teams and external client stakeholders
- Conduct legal research and draft legal memoranda on complex tax issues
- Ensure clients’ transactions are compliant with federal and state tax laws
- Support the firm’s broader Corporate group in deal execution from a tax perspective
Job Requirements:
- JD from an ABA-accredited law school
- Licensed to practice in CA, MA, or GA (or eligible to waive in)
- Minimum 5 years of transactional tax experience, ideally from an AmLaw 100 firm
- Extensive experience advising on tax aspects of M&A, partnerships, and private equity transactions
- Strong legal research and writing skills
- Business-oriented judgment and attention to detail
- Ability to manage multiple projects independently
- LLM in Tax – preferred
- Experience with cross-border or international tax structuring – preferred
- Familiarity with tax compliance for fund formation – preferred
Job Type: Full-time
Pay: $365,000.00 - $435,000.00 per year
