Structured Finance Associate

The Structured Finance group advises on high-profile securitizations, asset-based lending, and complex capital markets structures. As a private, partner-led firm, DLA does not take external funding and operates on a long-term, client-first model.

Roles and Responsibilities:

• Advise clients on asset-backed securities, securitization transactions, and structured finance instruments
• Draft and negotiate key transaction documents including indentures, purchase agreements, and servicing agreements
• Manage deal timelines from structuring through closing
• Conduct legal due diligence and assist with regulatory compliance reviews
• Support cross-functional teams and collaborate with capital markets and banking attorneys
• Interface directly with clients, rating agencies, and underwriters
• Stay current on industry trends, legal developments, and deal structures

Job Requirements:

• JD from an ABA-accredited law school
• Admitted to practice in NY, CA, MA, or PA (depending on office)
• 3–6 years of experience in structured finance, securitization, or asset-based lending
• Experience representing issuers, underwriters, or loan originators in public and private ABS offerings
• Deep knowledge of UCC, securities regulations, and financial transactions
• Excellent research, drafting, and organizational skills
• Ability to manage multiple deals simultaneously and meet deadlines
• Prior experience at an AmLaw 100 firm – preferred
• Background in CLOs, CMBS, or marketplace lending – preferred
• Exposure to cross-border finance or fintech transactions – preferred

Job Type: Full-time

Pay: $260,000.00 - $390,000.00 per year
