Overview:

We are seeking a highly skilled and experienced Project Finance Lawyer to join the Project Developments Team. The ideal candidate will have a strong understanding of the PPP framework, project financing agreements and project financing structures.

Key Responsibilities:

• Lead and manage the legal aspects of financing transactions, including drafting, reviewing, and negotiating financing documents such as shareholder agreements, loan agreements, guarantees, security documents, and intercreditor agreements.
• Coordinate and work closely with internal teams, external counsel, regulator/ govt entities, and other stakeholders to facilitate smooth execution of project finance deals.
• Assist in due diligence processes and assess the legal viability of projects.
• Advice on the legal aspects of project finance deals, ensuring compliance with relevant laws, regulations, and best practices.
• Analyze and assess legal risks associated with project financing and recommend appropriate mitigation strategies.
• Review internal policies & procedures and obtain all necessary approvals from the internal stakeholders for execution of project financing agreements.
• Monitor changes in legislation and regulations that may impact project finance transactions and advise accordingly.
• Work on obtaining necessary approvals, permits, and licenses required for projects.

Qualifications:

• Education:
• Bachelor of Laws (LLB) from an accredited law school.
• Master's Degree (LLM) in Project Finance, Banking and Finance Law, or Energy and Infrastructure Law would also be preferred but is not mandatory.
• Experience:
• At least 10 years of experience as a project finance lawyer with a reputable developer or a law firm,
• Proven experience working with infrastructure or energy projects is highly desirable.
• Experience with both debt and equity financing arrangements.
