Department : Entity Governance and Compliance - Company Secretarial Advisor

Location : Dubai

Hours: 08:30 - 17:30

The Role

To provide and increase the company secretarial and governance support we offer to our clients.

To provide registered agent and Corporate Service Provider services to offshore companies registered in the Abu Dhabi Global Market (the ADGM ), the Dubai International Financial Centre (the DIFC ) Jebel Ali Free Zone (the JAFZ ), the Ras Al Khaimah International Corporate Centre (the RAKICC ) and intermediary registered agent services to companies incorporated in the British Virgin Islands (the BVI ) and the Cayman Islands. To help establish/implement systems, policies and precedents to ensure high standards of corporate governance.

Key Responsibilities

  • Establishing offshore companies in the ADGM, DIFC, JAFZ, RAKICC, BVI and Cayman Islands. Preparing the necessary supporting applications required under different governing regulations.
  • Advising on and assisting with change of name, directors, general manager, activities, share transfers, registration of pledges, mortgages, etc for offshore companies, ADGM and DIFC companies.
  • Preparing agendas and notices for and taking minutes of board meetings and general meetings of shareholders.
  • Obtaining certificates of tax residence, etc. from relevant government authorities and no-objection letters.
  • Maintaining statutory records, including Register of Members and Register of Directors and Secretaries for "offshore", ADGM and DIFC companies.
  • Assisting with annual licence and registration renewals for "offshore" and ADGM and DIFC companies.
  • Undertaking company searches and making online applications.
  • Advising on filing requirements and compliance with local laws and regulations.
  • Preparing and maintaining corporate bibles, ensuring all relevant details are added/updated on relevant databases. Annually reviewing corporate bibles and requesting where required updated due diligence documents.
  • Ensuring accurate time recording.
  • Overseeing and advising on the preparation of case registration forms, conducting conflict searches, collating and submitting the necessary 'KYC' documents to the Firm's Business Acceptance Unit (BAU), updating BAU with any material changes of existing clients, liaising with BAU for file opening and arranging the closing of files.
  • Coordinating with the Finance Department to prepare invoices, arrange for payment of invoices, keeping track of statements of account and ensuring the timely collection of receivables.
  • Maintaining current awareness of relevant companies acts and governing regulations and taking appropriate action.
  • Maintaining template precedents such as Resolutions, Powers of Attorney, Memorandum and Articles of Association, share transfer documents, request letters, invoice letters, etc, all associated with "offshore", ADGM and DIFC companies.
  • Participating in projects and ad hoc duties to benefit the Department.


Candidate Requirements

The ideal candidate will:

  • be ICSA qualified; formal legal qualification (desirable);
  • have at least 3-4 years of company secretarial experience with knowledge of offshore systems and procedures; law firm experience desirable;
  • have BluePrint, Oneworld or Viewpoint experience;
  • have good communication and interpersonal skills;
  • be team-oriented and able to work autonomously whilst being adaptable and flexible;
  • be exposed to working in different cultures;
  • have strong attention to detail and excellent organisational and time management skills; and
  • be able to work to deadlines and under pressure.
