Role OverviewWe are seeking a motivated and detail-oriented Legal Associate with experience in corporate and commercial matters to join our team. The role involves advising clients on corporate transactions, drafting and reviewing commercial agreements, assisting with company incorporations across various jurisdictions, and supporting the litigation team with case briefs and legal documentation. The ideal candidate will be confident in client interactions, contract drafting, and handling matters across mainland UAE, DIFC, ADGM, and free zones.Key ResponsibilitiesClient Advisory &amp; Case Management<ul><li>Conduct client interviews and initial consultations to understand legal issues and commercial objectives.</li><li>Prepare comprehensive case briefs, internal memoranda, and legal summaries.</li><li>Provide regular case updates to clients and internal stakeholders.</li><li>Maintain organized case files, trackers, and documentation.</li></ul>Corporate &amp; Commercial Drafting<ul><li>Draft, review, and negotiate a wide range of agreements, including:</li><li>Non-Disclosure Agreements (NDAs)</li><li>Memoranda of Association (MOA)</li><li>Share Purchase Agreements (SPA)</li><li>Investment and Shareholders&rsquo; Agreements</li><li>Service, supply, and commercial contracts</li><li>Prepare and issue legal notices and formal correspondence to counterparties.</li><li>Assist in negotiations with clients, counterparties, and external counsel.</li></ul>Company Formation &amp; Structuring<ul><li>Handle company incorporations and restructuring in:</li><li>UAE Mainland</li><li>DIFC</li><li>ADGM</li><li>Free Zones</li><li>Liaise with relevant authorities, corporate service providers, and regulators.</li><li>Prepare incorporation documents, resolutions, and corporate records.</li></ul>Litigation Support<ul><li>Support the dispute resolution team by:</li><li>Preparing case briefs and chronologies</li><li>Drafting legal notices and demand letters</li><li>Assisting with evidence compilation and document review</li><li>Coordinating with external counsel and court experts where required</li></ul>Research &amp; Compliance<ul><li>Conduct legal research on UAE corporate, commercial, and regulatory laws.</li><li>Monitor regulatory updates affecting corporate structures and transactions.</li><li>Ensure compliance with applicable laws and internal procedures.</li></ul>Qualifications &amp; Skills<ul><li>Bachelor&rsquo;s degree in Law (LLB)</li><li>3&ndash;4 years of experience in corporate and commercial law (UAE preferred).</li><li>Experience drafting commercial agreements and corporate documents.</li><li>Familiarity with company incorporation processes in mainland UAE, DIFC, ADGM, and free zones.</li><li>Strong legal drafting, analytical, and negotiation skills.</li><li>Excellent written and verbal communication skills in English.</li><li>Ability to manage multiple matters and meet deadlines in a fast-paced environment.</li><li>Strong attention to detail and organizational skills.</li></ul>Job Type: Full-time
