We work closely with startups, SMEs, and growing enterprises to help them navigate regulatory frameworks and achieve sustainable growth.Role Overview:The Company Secretary will play a pivotal role in ensuring that the firm and its client companies comply with statutory and regulatory requirements. The position requires a proactive professional who can independently manage secretarial compliances, corporate governance processes, and provide strategic legal and regulatory advice to clients.Key Responsibilities:1. Secretarial &amp; Compliance Management<ul><li>Ensure compliance with the Companies Act, 2013 and other applicable laws for client companies.</li><li>Prepare and file ROC forms (INC, MGT, AOC, DIR, PAS, SH, etc.) in a timely manner.</li><li>Conduct and manage Board Meetings, Annual General Meetings (AGMs), and Committee Meetings &mdash; including drafting of agendas, notices, and minutes.</li><li>Maintain statutory registers, records, and minutes books.</li><li>Support in event-based filings such as change in directors, share allotments, capital restructuring, and registered office changes.</li></ul>2. Corporate Governance &amp; Advisory<ul><li>Advise management and clients on good governance practices, board procedures, and corporate structure.</li><li>Assist in designing optimal corporate and ownership structures during incorporations, mergers, or conversions (LLP to Pvt. Ltd., etc.).</li><li>Liaise with regulatory authorities such as MCA, ROC, RD, and NCLT as required.</li></ul>3. Legal, Financial, and Strategic Support<ul><li>Support clients in due diligence, investment documentation, and regulatory audits.</li><li>Draft and review shareholder agreements, board resolutions, and other corporate documents.</li><li>Collaborate with finance and legal teams for business restructuring, fundraising, and compliance planning.</li></ul>4. Client Relationship Management<ul><li>Serve as the primary compliance advisor for assigned client portfolios.</li><li>Coordinate with clients for timely collection of documents and ensure smooth filing processes.</li><li>Prepare compliance dashboards and status updates for clients and management.</li></ul>Qualifications &amp; Skills:<ul><li>Qualified Company Secretary (ACS) from the Institute of Company Secretaries of India (ICSI).</li><li>2&ndash;5 years of post-qualification experience (preferably in a consulting or advisory environment).</li><li>Strong knowledge of the Companies Act, FEMA, LLP Act, and related laws.</li><li>Excellent drafting, communication, and interpersonal skills.</li><li>Proficiency in MCA portal operations, e-filing, and compliance software.</li><li>Ability to manage multiple client accounts with attention to detail and timelines.</li></ul>Job Type: Full-timePay: &#8377;50,000.00 - &#8377;55,000.00 per monthWork Location: In person
