Secretarial &amp; Statutory Compliance<ul><li>Preparation &amp; filing of ROC forms (INC, DIR, PAS, MGT, AOC, etc.) for Pvt. Ltd.</li></ul>Companies.<ul><li>Preparation &amp; filing of LLP Forms (Form 3, Form 8, Form 11, etc.).</li></ul><ul><li>Maintaining statutory registers, minutes, and records.</li></ul><ul><li>Drafting Board resolutions, notices, and minutes of Board &amp; General Meetings.</li></ul><ul><li>Handling annual filings &amp; event-based filings with MCA.</li></ul>2. Corporate Governance &amp; SHA Compliance<ul><li>Ensuring that all corporate actions are consistent with the provisions of the</li></ul>Shareholders&rsquo; Agreement (SHA), including:o Reserved matters requiring Board/Shareholder approvals.o Pre-emptive rights, transfer restrictions, tag-along/drag-along rights.o Investor reporting requirements (MIS, financial statements, etc.).o Compliance with agreed governance structures.<ul><li>Advising management on compliance requirements under Companies Act, 2013, LLP</li></ul>Act, 2008, FEMA, and other applicable laws.<ul><li>Assisting in the conduct of Board/Committee/General meetings.</li></ul><ul><li>Monitoring changes in relevant laws and regulations and updating management.</li></ul>3. Legal &amp; Regulatory Support<ul><li>Drafting and vetting of agreements, MOUs, and other legal documents.</li></ul><ul><li>Liaising with regulators like MCA, ROC, and other statutory authorities.</li></ul><ul><li>Coordinating with external consultants/auditors for filings and compliance.</li></ul>4. Finance &amp; Compliance Support<ul><li>Supporting CFO/Accounts team in filing of returns (statutory, financial, secretarial).</li></ul><ul><li>Assisting in structuring of new entities, drafting LLP Agreements, MOA/AOA, and</li></ul>related documentation.<ul><li>Ensuring timely KYC, DIN, DSC renewals, and compliance monitoring.</li></ul>Candidate Profile<ul><li>Qualified Company Secretary (ACS) with 3&ndash;4 years of post-qualification experience.</li></ul><ul><li>Hands-on experience in LLP &amp; Private Limited company compliances.</li></ul><ul><li>Working knowledge of Shareholders&rsquo; Agreements (SHA) and related compliance.</li></ul><ul><li>Strong knowledge of Companies Act, 2013, LLP Act, 2008, FEMA provisions.</li></ul><ul><li>Good drafting, communication, and documentation skills.</li></ul><ul><li>Ability to work independently and coordinate with cross-functional teams.</li></ul><ul><li>Exposure to startup/real estate/proptech sector preferred (but not mandatory).</li></ul>Key Skills<ul><li>ROC Filings &amp; Compliance</li></ul><ul><li>Drafting Resolutions, Minutes &amp; Agreements</li></ul><ul><li>SHA Compliance &amp; Monitoring</li></ul><ul><li>Corporate Governance</li></ul><ul><li>Legal Drafting &amp; Advisory</li></ul><ul><li>Stakeholder Management</li></ul>Job Type: Full-timePay: ₹600,000.00 - ₹900,000.00 per yearBenefits:<ul><li>Health insurance</li><li>Paid sick time</li><li>Provident Fund</li></ul>Work Location: In person
