<b>About the position:</b><br>
This role will help to establish and lead Americares global contracts management function. This newly created role will be responsible for designing, implementing, and managing an organization-wide Contracts Lifecycle Management (CLM) framework. Additionally, this role supports the Legal, Compliance, and Risk Management (LCRM) department in contracts review, legal issues, dispute and litigation management.<br>

<b>Key Outcomes:</b><br>
In the first 90 days, the Senior Contracts Manager will:<br>
<ul><li>Learn and live Americares values</li><li>Actively participate in onboarding activities and training</li><li>Map all existing contracts processes, tools, and templates across departments and teams</li><li>Develop a 90-day action plan and a longer-term roadmap for implementing a CLM framework</li><li>Establish relationships with key internal stakeholders</li><li>Begin reviewing assigned contracts under the supervision of counsel</li></ul><br>
In the first 6 months, the Senior Contracts Manager will:<br>
<ul><li>Identify and implement an interim or permanent contracts repository</li><li>Meet agreed upon milestones in the roadmap of implementing the CLM framework</li><li>Streamline and reorganize the department&rsquo;s SharePoint site and file system, creating a logical, user-friendly file structure to ensure efficient access, version control, and consistency across the legal team</li></ul><br>

Duties and Responsibilities:</b><br>
<ul><li>Lead the development and implementation of a contracts lifecycle management (CLM) framework, including workflow mapping, templates, approval protocols, collaborating with stakeholders, assessing and selecting desired software features, change management and training, and related tasks.</li><li>Manage the full CLM process, ensuring consistency, compliance, efficiency, risk mitigation, alignment with department and business objectives, integration with key stakeholders, such as Procurement, and timely handling of contracts.</li><li>Lead the research, selection, and rollout of a software solution to centralize contract management processes and contracts repository.</li><li>Define and document end-to-end processes related to CLM, and develop any interim solutions for contracts management.</li><li>Maintain assigned templates and template development and revision processes. Assist with revisions of templates as needed.</li><li>Review assigned contracts, such as service agreements, vendor contracts, consulting agreements, NDAs, event contracts, SOWs, MOUs, engagement letters, and other standard form contracts.</li><li>Collect, monitor, and analyze key contract metrics, with a lens towards enhancing efficiencies and quality.</li><li>Assist with conducting Labor &amp; Employment investigations and other employment related matters at the direction of counsel.</li><li>Support practice areas, domestically and internationally, such as: Trust and Estates, Intellectual property/Trademarks, Marketing/Communications, Development, Supply Chain/Logistics, and Real Estate.</li><li>Drive strategic projects, particularly those related to CLM, for the LCRM and collaborate with cross-functional stakeholders.</li><li>Serve as team Records Custodian, managing LCRM SharePoint site and maintain corporate records, filings, and documents.</li><li>Provide support for litigation management, dispute resolution, external investigations and regulatory matters, as needed.</li><li>Conduct legal research.</li><li>Actively model and contribute to Americares values, work culture and mission.</li><li>Engage in and contribute to team spaces with openness, global competencies, and a growth mindset.</li><li>Other duties and responsibilities as assigned.</li></ul></div><p></p><div><div><b><i>
Competencies required for the role:</i></b><br>
<ul><li><i>At least 7-10 years&rsquo; experience leading contracts management (including developing or implementing a contracts lifecycle management process or system from the ground up),</i></li><li><i>Extensive experience developing and overseeing the entire life cycle of contracts management for the full enterprise needs of non-profit organizations.</i></li><li><i>Demonstrated experience in drafting, reviewing, and negotiating agreements.</i></li><li><i>Excellent legal research and writing skills.</i></li><li><i>Strong prioritization and time management skills to manage multiple concurrent projects effectively.</i></li><li><i>Expertise in applying project management methodologies and best practices to meet deadlines, optimize resources, and successfully drive outcomes.</i></li><li><i>Skilled communicator with internal and external stakeholders.</i></li><li><i>Effective assessment and issue resolution skills to best address needs and scope of contracts and projects in a fast-paced environment.</i></li><li><i>Ability to work independently in a remote environment while also successfully being a team player.</i></li><li><i>Impeccable attention to detail.</i></li><li><i>Advanced knowledge of Lexis Nexis, Microsoft 365 package, SharePoint and contract management software solutions.</i></li><li><i>This role requires occasional travel for annual meetings and activities.</i></li></ul><br>

<i>Preferred qualifications for the role include:</i><br>
<ul><li><i>Fluency in languages that are spoken in at least one of our core locations (India, Philippines, Tanzania, El Salvador, Colombia, etc.), in addition to English.</i></li><li><i>NCMA certification or similar contracts management certification preferred.</i></li><li><i>Prior contracts management experience in an international humanitarian/development organization.</i></li></ul><br>
