<div>Public Finance Associate
Barnes &amp; Thornburg LLP, an Am Law 100 firm with a nationally recognized Public and Project Finance practice, is seeking a highly skilled and motivated Public Finance Associate to join our dynamic and expanding Public and Project Finance practice. Candidates should have finance, real estate or other transactional experience, and will ideally have some public finance experience as well, though not required. This addition is driven by long-term strategic growth and is an outstanding opportunity for a mid to senior-level associate looking to work primarily in debt securities and tax credit finance, with a sophisticated, complex practice, and with a clear path for advancement.
Our nationally recognized Public Finance group is Chambers ranked Band 1 and advises investment banking firms, commercial banks, utilities, health systems, medical centers, universities, state and local governmental entities, LIHTC investors and other clients on some of the most sophisticated and high-impact financings in the market. We serve as bond counsel, borrower&rsquo;s counsel, disclosure counsel, underwriter&rsquo;s counsel, bank counsel, investor&rsquo;s counsel, tax counsel, and indenture trustee&rsquo;s counsel on complex, rated and unrated debt financings across the country, and we represent key market participants in restructuring public finance debt.
Position Overview
The attorney in this position will gain significant, broad-based public and project finance experience, including substantive experience structuring and executing finance transactions, as well as working with municipal bond workouts and restructurings. In this role, you will work on high-profile and highly rated tax-exempt and taxable bond financings, as well as distressed and high-yield municipal bond transactions. This is a fast-paced practice that involves managing multiple matters simultaneously, frequent client interaction, and engagement with sophisticated financial products and complex credit structures and transactions.
Responsibilities<ul><li>
Serve as a key member of deal teams representing a wide range of clients in public and project finance transactions</li><li>
Structure and document tax-exempt and taxable municipal securities as well as other debt instruments and derivatives</li><li>
Draft and review principal transaction documents, including:<ul><li>
Trust indentures and loan agreements</li><li>
Bond purchase and underwriting agreements</li><li>
Primary and secondary market disclosure and disclosure undertakings</li><li>
Security documents</li><li>
Tax certificates and opinions</li></ul></li><li>
Conduct legal research and analysis related to securities, tax, bankruptcy, and municipal law issues</li><li>
Assist with restructurings of distressed municipal debt, including workouts, etc.</li><li>
Interface directly with clients, financial advisors, investment bankers, rating agencies, and other transaction participants</li></ul>
Qualifications<ul><li>
Relevant experience in public finance, transactional, and/or commercial real estate work</li><li>
Experience serving as bond counsel, disclosure counsel, or underwriter&rsquo;s counsel preferred but not required</li><li>
Experience with bond and finance transactions and restructurings, tax and bankruptcy not required but would be a plus</li><li>
Strong drafting, analytical, and organizational skills</li><li>
Ability to manage multiple matters in a deadline-driven environment</li><li>
Excellent written and verbal communication skills</li><li>
J.D. from an accredited law school and strong academic credentials</li><li>
Must hold a current license to practice law in the state of application, or be eligible for admission by reciprocity (waiver) in that state</li></ul>

Public Finance Associate

<div>Summary:
Under general supervision and according to established policies and procedures, the Office Administrator will be responsible for providing the day-to-day management of and long-term strategic planning for administrative functions related to Human Resources, Operations and Facilities, Administrative Support, and Financial Planning for the assigned office location. The Office Administrator also serves as a trusted operational advisor to office leadership, proactively identifying issues, anticipating needs, and ensuring that day-to-day operations function smoothly without requiring unnecessary leadership intervention.
Key Responsibilities:
Performs assigned human resources functions for the office(s) including, but not limited to:<ul><li>
Ensures fair and consistent implementation of human resources policies and procedures.</li><li>
Compliance with applicable federal, state and local employment laws.</li><li>
Responsible for full cycle performance management of direct reports, including direct supervision, training, coaching, evaluation, and compensation review. Managing personnel concerns, workflow disruptions, and operational challenges with discretion and sound judgment.</li><li>
Partners with Human Resources on direct report employment-based decisions related to promotion, performance improvement, and termination.</li><li>
Partners with the business professional recruiting team in the full-cycle recruiting of direct reports, including sourcing candidates, interviewing, and hiring.</li><li>
Assists Legal Recruiting with attorney and legal support staff interview scheduling.</li><li>
Prepares and maintains business professionals compensation budget.</li><li>
Implements the Firm&rsquo;s Policy on Legal Administrative Support and drives the continuous improvement of support staff operational efficiency. Supports staffing strategy and resource alignment by evaluating workload distribution, identifying staffing gaps, and recommending adjustments to ensure attorneys are properly supported.</li><li>
Administers and facilitates new hire onboarding.</li><li>
Administers hourly employee time and attendance processes, including the approval of time away requests and the administration and monitoring of electronic worktime recording, approval and submission.
Serves as the primary liaison between attorneys and administrative teams in the office, acting as the first point of contact for concerns and independently resolving workflow or staffing challenges before they escalate. Performs or manages all required financial management functions for the office(s) including, but not limited to:</li><li>
Processes and transmits invoices to accounting for payment on a weekly basis.</li><li>
Maintains Dayforce update and exceptions and approves timecards for all hourly administrative business professionals on a bi-weekly basis.</li><li>
Prepares and maintains office operating expense and capital budget.</li><li>
Reviews and analyzes the office budget variance report on a monthly basis providing explanations for discrepancies.</li><li>
Establishes financial controls and guidelines that optimize cost effectiveness and profitability.</li><li>
Prepares and submits monthly budget variance report.</li><li>
Performs or manages all required facilities management functions for the office(s) including, but not limited to:</li><li>
Ensures office is impeccably maintained.</li><li>
Ensures that meeting services and onsite cafes and break rooms are maintained and well supplied.</li><li>
Manages routine maintenance requests.</li><li>
Maintains constructive and collaborative working relationship with the office building manager.</li><li>
Oversees office assignments and internal office restructuring.</li><li>
Partners with the Firm&rsquo;s Director of Real Estate Operations and Facilities on space planning, leasehold improvements, and office relocation.</li><li>
Manages capital projects in partnership with the Office Managing Partner.</li><li>
Oversees and manages the purchasing, inventory control, and vendor relations for the office(s) in partnership with the Firm&rsquo;s Procurement and Logistics Manager.</li><li>
Oversees reception services.</li><li>
Other Duties and Responsibilities</li><li>
Serves as a stabilizing leadership presence during periods of change, including staffing transitions, retirements, or office reconfigurations.</li><li>
Maintains office culture and engagement stability by monitoring morale, addressing emerging concerns, and reinforcing a collaborative and professional office environment through consistent, hands‑on leadership.</li><li>
Identifies risks and issues proactively, and resolving operational, staffing, or culture‑related concerns at the earliest stages, escalating to the Chief of Staff and Office Managing Partner when necessary.</li><li>
Liaison between Human Resources, Information Technology, Finance, Facilities, and Recruiting to resolve operational issues and advocate for office needs.</li><li>
Responsible for the planning and execution of office engagement and other office events including, but not limited to, annual holiday party, business professional appreciation event, summer outing and attorney party. Partners with Client Growth and Marketing in the coordination and execution of client events.</li><li>
Plans Summer Law School Program activities for the office(s) in coordination with the Director of Law Student Programs.</li><li>
Attends monthly Firm meetings and provides updates to the Office Managing Partner and Chief of Staff as necessary on matters relating to administration, facilities, budget, resources, hiring, training, performance issues, and recruiting. Translates firm-wide directives and goals into practical workflows and ensures successful adoption and execution within the office.</li><li>
Other duties as assigned and required by the Chief of Staff or Office Managing Partner.

Office Administrator

<div>Summary:
Under direct supervision of the IP Department attorneys, and according to established policies and procedures, the IP Assistant performs a variety of docketing, file maintenance, document and correspondence preparation, and other related duties.
A qualified candidate should have a minimum of two years&rsquo; experience working as an Intellectual Property Assistant with U.S., PCT and foreign patent applications, ability to prepare associated documents and correspondence, and have a strong understanding of the life cycle of a patent and associated deadlines and procedures.
Key Responsibilities:<ul><li>
Reviews incoming mail for assigned attorney(s) and drafts appropriate correspondence and documents in response.</li><li>
Reviews and maintains weekly docket; coordinates with attorneys regarding deadlines.</li><li>
Prepares documents, instruction letters and filings of all PCT and direct-filed foreign applications.</li><li>
Coordinates execution and legalization of U.S. and foreign formal documents, as required.</li><li>
Prepares U.S. and foreign reporting and reminder letters.</li><li>
Prepares and electronically files with the USPTO documents such as, but not limited to: new U.S. and PCT applications, Information Disclosure Statements, Issue Fees, Formal Drawings, Assignments, Declarations, Extensions of Time, Powers of Attorney and Responses to Office Actions.</li><li>
Prepares docket and portfolio reports as requested.</li></ul>
Qualifications:<ul><li>
High school diploma or GED required, bachelor&rsquo;s degree preferred.</li><li>
Minimum two years&rsquo; experience as a Patent Legal Assistant</li><li>
Strong understanding of patent prosecution process and associated correspondence and deadlines.</li><li>
Exceptional attention to detail with good analytical and critical thinking skills.</li><li>
Ability to understand and maintain a daily docket.</li><li>
Excellent written and oral communication skills, including strong grammar, spelling and proofreading skills.</li><li>
Excellent interpersonal and communication skills are necessary to communicate with a diverse group of attorneys and staff, and on occasion with foreign associates and representatives from the U.S. Patent and Trademark Office.
