Position OverviewThe Company Secretary (CS) is a key managerial personnel responsible for ensuring that the organization complies with statutory and regulatory requirements and maintains high standards of corporate governance. The CS acts as a vital link between the Board of Directors, senior management, regulatory authorities, shareholders, and other stakeholders.Key Responsibilities1. Corporate Governance &amp; Compliance<ul><li>Ensure compliance with the Companies Act, SEBI regulations, and other applicable corporate laws.</li><li>Maintain and update statutory registers, records, and filings.</li><li>Prepare, review, and file necessary documents including annual returns, financial statements, and event-based compliance forms.</li><li>Monitor corporate governance practices and advise the Board on good governance standards.</li></ul>2. Board &amp; Committee Support<ul><li>Organize, convene, and coordinate Board meetings, Committee meetings, and General Body meetings.</li><li>Draft agenda, notices, resolutions, minutes, and briefing notes for the Board.</li><li>Maintain efficient documentation and safe custody of minutes and Board papers.</li></ul>3. Legal &amp; Regulatory Management<ul><li>Act as the primary point of contact with regulatory bodies such as MCA, ROC, SEBI, Stock Exchanges, RBI, etc.</li><li>Provide guidance on legal matters, corporate structuring, and secretarial standards.</li><li>Ensure compliance with applicable labour, tax, and industry-specific regulations in coordination with legal advisors.</li></ul>4. Secretarial Advisory &amp; Corporate Affairs<ul><li>Advise the Board and management on key legal obligations, governance mechanisms, and risk mitigation.</li><li>Assist in mergers, acquisitions, share allotments, business restructuring, and fundraising activities.</li><li>Manage share capital, ESOPs, investor relations, and equity-related documentation (for listed companies).</li></ul>5. Documentation &amp; Record Management<ul><li>Manage statutory registers such as Register of Members, Directors, Charges, Contracts, etc.</li><li>Ensure proper drafting, vetting, and execution of legal agreements and corporate documents.</li><li>Oversee secure record-keeping, digital documentation, and retrieval systems.</li></ul>6. Stakeholder Coordination<ul><li>Serve as a liaison between the company and stakeholders including auditors, lawyers, bankers, government entities, and investors.</li><li>Handle queries related to corporate compliance, governance, and statutory matters.</li></ul>7. Ethical &amp; Governance Leadership<ul><li>Promote ethical business conduct and transparency.</li><li>Build compliance culture across departments.</li><li>Educate management on emerging corporate laws, regulatory updates, and governance frameworks.</li></ul>Qualifications &amp; SkillsEducational Qualification<ul><li>Qualified Company Secretary (ACS/FCS) from the Institute of Company Secretaries of India (ICSI).</li><li>Additional qualifications such as LLB, MBA (Finance), or specialization in Corporate Law/Governance preferred.</li></ul>Technical Skills<ul><li>Strong knowledge of Companies Act, SEBI LODR, FEMA, LLP Act, Secretarial Standards.</li><li>Proficiency in MCA filing, compliance management tools, and corporate documentation.</li><li>Excellent drafting, legal interpretation, and reporting skills.</li></ul>Soft Skills<ul><li>Attention to detail and high integrity.</li><li>Strong communication and interpersonal skills.</li><li>Ability to work with senior leadership and handle confidential information.</li><li>Excellent organizational and time-management abilities.</li></ul>Work Experience<ul><li>2&ndash;10 years of experience in corporate secretarial roles, depending on job level.</li><li>Experience in listed company compliance is preferred for senior roles.</li></ul>Key Performance Indicators (KPIs)<ul><li>Accuracy and timeliness of statutory filings.</li><li>Quality of Board documentation and governance support.</li><li>Compliance audit results and risk mitigation effectiveness.</li><li>Stakeholder satisfaction and regulatory communication efficiency.</li></ul>Job Type: Full-timePay: ₹40,000.00 - ₹50,000.00 per monthBenefits:<ul><li>Paid time off</li></ul>Work Location: In person
