Key Responsibilities:1. Secretarial &amp; Compliance:<ul><li>Ensure compliance with the Companies Act, 2013 and other statutory requirements.</li><li>Maintain statutory registers, records, and filings (ROC, MCA, etc.).</li><li>Organize and manage Board Meetings, Annual General Meetings (AGMs), and prepare agendas, notices, and minutes.</li><li>Liaise with auditors, regulators, and stakeholders for statutory compliances.</li></ul>2. Legal &amp; Governance (with LLB expertise):<ul><li>Draft, review, and vet legal agreements, contracts, MOUs, and other documents.</li><li>Provide legal advice on company policies, employment laws, property/lease agreements, and vendor contracts.</li><li>Represent the company in legal matters and coordinate with external legal counsel when necessary.</li><li>Handle dispute resolution, litigation, and arbitration matters.</li></ul>3. Corporate Strategy &amp; Advisory:<ul><li>Advise the Board on good governance practices, compliance, and legal risk management.</li><li>Support fundraising, M&amp;A, and restructuring activities with legal and secretarial compliance.</li><li>Safeguard intellectual property, licenses, and registrations.</li></ul>4. Additional Duties:<ul><li>Ensure compliance with PF, ESIC, labor laws, and other statutory employee-related regulations (if applicable to the industry).</li><li>Maintain strong liaison with government bodies, regulators, and external stakeholders.</li></ul>Skills &amp; Qualifications:<ul><li>Qualified Company Secretary (CS) from ICSI.</li><li>LLB degree from a recognized university.</li><li>Strong knowledge of Companies Act, SEBI Regulations, FEMA, Labor Laws, and other applicable statutes.</li><li>Excellent drafting, communication, and negotiation skills.</li><li>Ability to handle confidential information with integrity.</li><li>Minimum 2&ndash;4 years of relevant experience.</li></ul>Key Competencies:<ul><li>Attention to detail and accuracy.</li><li>Problem-solving and decision-making.</li><li>Strong organizational and leadership skills.</li><li>Ability to work independently and under pressure.</li></ul>Job Type: PermanentPay: &#8377;100,000.00 - &#8377;150,000.00 per monthBenefits:<ul><li>Cell phone reimbursement</li><li>Flexible schedule</li><li>Internet reimbursement</li><li>Leave encashment</li><li>Paid sick time</li><li>Provident Fund</li><li>Work from home</li></ul>Work Location: In person
