Job description:Job description:Position: Company Secretary (CS) who has worked with Listed companies under BSE /NSE.) 5 YEARS EXPERIENCE IN LISTED COMPANY (ONLY MALE)Job Location: Delhi ,Role DescriptionThis is a full-time on-site role as Company Secretary at Eastern Silk Industries Ltd in Bengaluru. The successful candidate will be responsible for ensuring compliance with legal and regulatory requirements, maintaining legal records, preparing legal documents, conducting board meetings, and improving corporate governance practices.QualificationsBachelor's/Master's degree in corporate law, business law, or related fieldsProfessional certification from the Institute of Company Secretaries of India (ICSI)Minimum of 2 years of relevant experience as a Company Secretary in a public listed companyExcellent knowledge of corporate law and governance regulations, listing agreements, and other applicable laws and regulationsExperience in managing board/committee meeting, drafting resolutions and minutes of such meetingsAbility to provide legal advice, analyse legal risks and implications of business decisionsExcellent verbal and written communication skills and ability to work effectively in cross-functional teamsProficiency in computer applications and softwareExperience with corporate secretarial software is a plusExcellent organizational and time-management skills.Handling of all ROC &amp; SEBI complianceFinancial Modelling &amp; ValuationMaintenance of statutory registers, records, etc.Make requisite regulatory filingsTraining Directors on corporate governance principlesCompliance with requirements of RBI.E filing of various forms.Finance-related work and other statutory-related workskeeping up to date with any regulatory or statutory changes and policies that might affect the organisationMaintain Statutory register, take annual disclosures from the Directors, etcCommand Over Corporate GovernanceFiling Forms, Allotment, intimating RBI, etc. at the time of issue of shares/transferPreparation of Directors report and compilation of data therein for Annual Report5+ years&rsquo; experience in company secretary related mattersOffering legal support in corporate actions like mergers, acquisitions, and restructuring, as well as in litigation matters.Roles and Responsibilities&middot; Board Meetings Management:&middot; Compliance Oversight&middot; Corporate Governance&middot; Communication with Shareholders:&middot; Record Keeping&middot; Policy Management:&middot; Financial Reporting&middot; Legal Advisory:&middot; Corporate Secretarial Services:&middot; Risk Management.Connect with employer for this opportunity via e-mail bhawna@consilioresources.com orCall - +91 9910087640Job Type: Full-timeJob Type: Full-timePay: &#8377;800,000.00 - &#8377;900,000.00 per yearAbility to commute/relocate:<ul><li>Delhi, Delhi: Reliably commute or planning to relocate before starting work (Preferred)</li></ul>Experience:<ul><li>total work: 2 years (Preferred)</li></ul>Language:<ul><li>English (Preferred)</li></ul>Location:<ul><li>Delhi, Delhi (Preferred)</li></ul>Work Location: In person
