Job Summary:This is a full-time on-site role for a Company Secretary located in Bhosari and Chakan, Pune. The Company Secretary will play a key role ben ensuring our company adheres to company law regulatory and statutory compliances records and requirements while upholding the highest standards of corporate governance. The role involves liaising with stakeholders, drafting minutes of meetings, managing corporate governance, and providing administrative support to the board of directors. Additional responsibilities include legal and administrative compliance and support.Key Responsibilities:1. Statutory Compliance &amp; Corporate Laws&middot; Ensure timely compliance with the Companies Act, 2013, Factory-related rules, and other applicable laws.&middot; File statutory forms with the Registrar of Companies (ROC) and maintain all prescribed registers and records.&middot; Stay updated on changes in corporate, labour, environment, and industrial laws relevant to manufacturing.2. Board &amp; General Meeting Management&middot; Organize and coordinate Board of Directors&rsquo; meetings, Committee Meetings (Audit, CSR, etc.), AGM/EGM.&middot; Draft agenda, notices, resolutions, and minutes as per Secretarial Standards (SS-1 &amp; SS-2).&middot; Advise the Board on legal and compliance implications of key business decisions.3. Regulatory Compliance &amp; Governance&middot; Ensure compliance with FEMA, SEBI (if listed), environmental laws, industrial licenses, etc.&middot; File returns related to CSR activities, if applicable, and ensure compliance with Schedule VII of the Companies Act.&middot; Monitor adherence to corporate governance best practices and ethics.4. Liaisoning with Authorities&middot; Act as the liaison between the company and regulatory authorities like:- Ministry of Corporate Affairs (MCA)- Registrar of Companies (ROC)- Factories Inspectorate- Pollution Control Board- SEBI/RBI (if applicable)&middot; Handle correspondence with government bodies for licenses, permits, and legal queries.5. Contract &amp; Legal Document Management&middot; Draft, vet, and maintain legal agreements (e.g., vendor contracts, lease agreements, purchase agreements).&middot; Manage MoUs, NDAs, and joint venture documentation.&middot; Ensure contracts align with legal and corporate compliance requirements.6. Secretarial Audit &amp; Annual Filings&middot; Conduct Secretarial Audit and prepare reports under Section 204 of the Companies Act.&middot; Coordinate with internal/external auditors and legal teams for audits and inspections.&middot; File Annual Returns (MGT-7, AOC-4) and other statutory documents on time.7. Shareholder &amp; Stakeholder Relations&middot; Manage matters related to shareholding, share transfers, dividend payments, etc.&middot; Handle investor queries, grievances, and maintain effective stakeholder communication.&middot; Coordinate with Registrars &amp; Share Transfer Agents (RTA).8. Risk Management &amp; Insurance&middot; Support in identifying compliance risks and suggest mitigating measures.&middot; Ensure adequate insurance coverage for assets, employees, and third-party liabilities.9. Support for Business Operations&middot; Provide legal and secretarial support for expansion projects, plant licensing, land acquisition, etc.&middot; Review and ensure compliance for procurement contracts, vendor management, labor contracts, etc.10. CSR &amp; Sustainability Compliance&middot; Manage Corporate Social Responsibility (CSR) policy implementation and documentation.&middot; Ensure timely CSR spending, board approvals, and reporting as per the law.Qualification &amp; Skills:&middot; Education: Qualified Company Secretary (ICSI Member)&middot; 5&ndash;10 years of post-qualification experience, preferably in a manufacturing setup&middot; Knowledge of corporate laws, SEBI compliance (if listed), labour laws, and industrial regulations&middot; Excellent communication and organizational skills&middot; Ability to manage multiple stakeholders and deadlinesJob Type: Full-timePay: &#8377;100,000.00 - &#8377;1,500,000.00 per yearBenefits:<ul><li>Food provided</li><li>Leave encashment</li><li>Provident Fund</li></ul>Work Location: In person
