Job Description Role Overview: We are seeking a qualified and experienced Company Secretary to join our team. The ideal candidate should have a strong understanding of corporate governance, regulatory compliance, and secretarial practices, with hands-on experience in both corporate and practicing firm settings. This role demands a proactive professional who can manage statutory obligations, support board processes, and ensure legal and regulatory compliance across the organization. Key Responsibilities: &bull; Ensure compliance with Companies Act, FEMA, and other applicable laws. &bull; Manage board meetings, general meetings, and committee meetings including drafting agendas, minutes, resolutions, and notices. &bull; Co-ordinate with local consultants for any work that may be assigned to them &bull; Maintain statutory registers and records as per legal requirements. &bull; Liaise with regulatory authorities such as MCA, RBI, ROC etc. as required &bull; Handle corporate filings, annual returns, and other statutory submissions. &bull; Support legal and compliance audits and due diligence processes. &bull; Advise management on corporate governance best practices. &bull; Assist in drafting and reviewing legal documents, contracts, and agreements. &bull; Coordinate with internal and external stakeholders including auditors, legal advisors, and consultants. &bull; Stay updated on changes in laws and regulations affecting the company. Qualifications &amp; Skills: &bull; Qualified Company Secretary (ACS). &bull; 5&ndash;6 years of post-qualification experience, with exposure to both corporate and practicing firm environments. &bull; Strong knowledge of corporate laws, secretarial standards, and regulatory frameworks. &bull; Excellent drafting, communication, and interpersonal skills. &bull; Ability to manage multiple tasks and meet deadlines. &bull; Proficiency in MS Office and secretarial software tools. Preferred Attributes: &bull; Experience in a mid-level or large corporate setup. &bull; Exposure to M&amp;A and corporate restructuring. &bull; Ability to work independently and as part of a team.
