Trainee Company Secretary(CS)

Job Summary:We are looking for a semi-qualified Company Secretary (CS Executive/Professional passed) with prior experience in NBFCs to assist in secretarial, legal, and compliance functions. The role involves ensuring adherence to statutory and regulatory requirements under the Companies Act, RBI NBFC guidelines, and other applicable laws.Key Responsibilities:Secretarial Compliance:<ul><li>Assist in preparing and maintaining statutory registers, records, and returns under the Companies Act, 2013.</li><li>Support in convening Board Meetings, Committee Meetings, and General Meetings &mdash; preparing agendas, notices, and minutes.</li><li>Draft and vet board resolutions, agreements, and routine legal documents.</li><li>Support in annual filings (MGT-7, AOC-4, DIR-3 KYC, etc.) and coordinate with the Registrar of Companies (ROC).</li></ul>NBFC Regulatory Compliance:<ul><li>Assist in ensuring compliance with RBI NBFC Master Directions and other circulars.</li><li>Prepare and file returns to RBI (such as NBS-1, NBS-2, NBS-4, etc.).</li><li>Monitor compliance under RBI Fair Practice Code and other operational guidelines.</li><li>Coordinate with internal and external auditors for compliance reviews.</li></ul>Corporate Governance:<ul><li>Maintain corporate governance standards and ensure timely disclosures and filings.</li><li>Support in drafting policies, SOPs, and internal control documentation.</li></ul>Legal Support:<ul><li>Liaise with legal advisors for legal matters, notices, and documentation.</li><li>Maintain contracts database and assist in reviewing key agreements.</li></ul>Qualifications and Skills:<ul><li>Education: CS Executive/Professional Level (Semi-qualified CS).</li><li>Experience: 1&ndash;4 years of experience, preferably in NBFC or financial services.</li><li>Knowledge: Companies Act, 2013, RBI NBFC Regulations, FEMA, SEBI (if applicable).</li><li>Skills:</li><li>Excellent drafting and communication skills.</li><li>Strong attention to detail and ability to meet deadlines.</li><li>Proficiency in MS Office and MCA portal filings.</li></ul>Key Attributes:<ul><li>Ethical, detail-oriented, and proactive.</li><li>Ability to work independently and in a team environment.</li><li>Willingness to learn and grow in the compliance and governance domain.</li></ul>Remuneration:Commensurate with qualifications and experience.Job Types: Full-time, PermanentPay: &#8377;35,000.00 - &#8377;50,000.00 per monthLanguage:<ul><li>Hindi (Preferred)</li><li>English (Preferred)</li></ul>Work Location: In person
