Job Title: Company SecretaryDepartment: Legal &amp; Compliance Location: Lion India Limited, Vasant Kunj, New Delhi Reporting To: Board of Directors / Managing DirectorKey Responsibilities<ul><li>Statutory Compliance &amp; Governance</li><li>Ensure compliance with Companies Act, SEBI regulations, FEMA, and other applicable laws.</li><li>Maintain statutory registers, records, and filings with regulatory authorities (ROC, RBI, SEBI).</li><li>Organize and record minutes of Board Meetings, AGMs, and Committee Meetings.</li><li>Board &amp; Stakeholder Support</li><li>Advise the Board on corporate governance best practices.</li><li>Prepare agendas, notices, and resolutions for meetings.</li><li>Liaise with shareholders, regulators, and external advisors.</li><li>Legal &amp; Regulatory Advisory</li><li>Draft and vet legal documents, contracts, and policies.</li><li>Monitor changes in legislation and assess impact on the company.</li><li>Handle legal disputes, arbitration, and coordinate with legal counsel.</li><li>Secretarial Audit &amp; Risk Management</li><li>Conduct internal secretarial audits and ensure risk mitigation.</li><li>Support in due diligence for mergers, acquisitions, and restructuring.</li></ul>Required Skills &amp; Qualifications:Qualified Company Secretary (ACS/FCS) from ICSI.Minimum 3&ndash;5 years in a corporate secretarial role.Job Types: Full-time, Permanent, FresherPay: From ₹30,000.00 per monthBenefits:<ul><li>Paid time off</li><li>Provident Fund</li></ul>Work Location: In person
