Responsibilities of a CS:1. Statutory Compliance &amp; Company Law Matters&middot; Ensuring compliance with the Companies Act, 2013.&middot; Maintaining statutory registers (Register of Members, Directors, Charges, etc.).&middot; Preparing and filing ROC forms (e.g., DIR-12, MGT-7, AOC-4).&middot; Organizing board meetings, drafting notices, agendas, and minutes.&middot; Annual Return filing and compliance under MCA portal.2. Board &amp; General Meeting Support&middot; Drafting Board Resolutions and Minutes.&middot; Convening Annual General Meetings (AGM) / Extraordinary General Meetings (EGM).&middot; Ensuring proper quorum and compliance with meeting procedures.3. Share Capital &amp; Securities Management&middot; Issuance and allotment of shares.&middot; Handling share transfers/transmissions.&middot; Share Certificate issuance and related documentation.&middot; Maintenance of Share Register and other related records.**4. Private Placement of Shares&middot; Drafting of Private Placement Offer Letter (PAS-4).&middot; Filing of Form PAS-3 with ROC.&middot; Maintaining records of offer and allotment.&middot; Ensuring compliance with Section 42 of the Companies Act.5. Foreign Investment Compliance&middot; Filing of FC-GPR (Foreign Currency-Gross Provisional Return) for allotment of shares to foreign investors (with RBI through FIRMS portal).&middot; Filing of FC-TRS (Foreign Currency-Transfer of Shares) for transfer of shares between resident and non-resident entities.&middot; Coordinating with Authorised Dealer (AD) Banks for foreign remittance and RBI compliance.&middot; Monitoring sectoral caps and FDI regulations under FEMA.6.
