 The
 
 Senior Governance Officer
 
 will be responsible for supporting the development, implementation, and monitoring of the organization&rsquo;s corporate governance framework. This role ensures alignment with applicable laws, regulations, and international best practices, while supporting the Board of Directors and senior leadership in maintaining robust governance structures across the company and its subsidiaries.
 
 
 
 Key Responsibilities:
 
 
 
 Governance Framework &amp; Policies
 
 <ul>
 <li>
 Develop, review, and update the company&rsquo;s governance framework, charters, and policies in alignment with UAE laws (e.g., ADGM, SCA, Commercial Companies Law) and international corporate governance standards.
 </li>
 <li>
 Monitor the implementation of governance policies and ensure adherence across departments and entities.
 </li>
 <li>
 Coordinate updates to the Delegation of Authority (DoA) and ensure effective communication and training on governance processes.
 </li>
 </ul>
 
 Board and Committee Support
 
 <ul>
 <li>
 Facilitate Board of Directors and Board Committee meetings including agenda setting, minute taking, resolutions drafting, and document management.
 </li>
 <li>
 Ensure timely and accurate communication of Board decisions and follow-up on implementation status with executive management.
 </li>
 <li>
 Maintain statutory records, Board charters, terms of reference, and director independence assessments.
 </li>
 </ul>
 
 Regulatory Compliance &amp; Reporting
 
 <ul>
 <li>
 Liaise with regulatory authorities (e.g., SCA, DMT, ADGM, RERA) and ensure compliance with governance-related obligations.
 </li>
 <li>
 Support the timely preparation and submission of reports to regulators and stakeholders.
 </li>
 <li>
 Coordinate the company&rsquo;s annual general meeting (AGM) and shareholder communications.
 </li>
 </ul>
 
 Risk &amp; Internal Control Integration
 
 <ul>
 <li>
 Work closely with Risk Management, Internal Audit, and Compliance functions to ensure governance practices are effectively integrated into enterprise risk and control frameworks.
 </li>
 <li>
 Support internal assessments and external audits related to governance, ethics, and transparency.
 </li>
 </ul>
 
 Training &amp; Awareness
 
 <ul>
 <li>
 Promote a culture of strong corporate governance through training sessions, internal communications, and leadership workshops.
 </li>
 <li>
 Provide ongoing advisory support to executives and department heads on governance matters and ethical decision-making.
 </li>
 </ul>
 
 Subsidiary &amp; JV Oversight
 
 <ul>
 <li>
 Assist in establishing governance structures for subsidiaries and joint ventures.
 </li>
 <li>
 Ensure consistency of governance practices across the group and track compliance status.
 </li>
 </ul>
 
 
 Qualifications &amp; Experience:
 
 
 <ul>
 <li>
 Bachelor&rsquo;s Degree in Law, Business Administration, Public Policy, or related field (Master&rsquo;s degree preferred).
 </li>
 <li>
 Professional certifications such as ICSA, CGI, CCEP, or equivalent are highly desirable.
 </li>
 <li>
 Minimum 3&ndash;6 years of progressive experience in corporate governance, preferably in real estate, investment, or regulated industries.
 </li>
 <li>
 Strong understanding of UAE regulatory landscape including the Securities and Commodities Authority (SCA), ADGM, DMT, and Companies Law.
 </li>
 <li>
 Experience supporting Boards and executive management in a corporate governance role.
 </li>
 </ul>

 JOB SCOPE
 
 
 
 
 
 The Design Manager shall be responsible for the execution of a portfolio of projects under their assignment. Responsibilities consist of supervising and completing all activities associated with project design and development as well as providing oversight to the Business Development and Finance team with prospect review and due diligence for new opportunities in the market.
 
 
 
 
 
 The Design Manager reports to the Head of Development in the current structure.
 
 
 
 
 
 The Design Manager will work closely with the Development, Projects, Finance, Legal, Commercial and Marketing.
 
 
 
 
 
 The Design Manager will also liaise with many external vendors in relation to consultancy and construction activities.
 
 
 
 
 
 PRINCIPAL ACCOUNTABILITIES
 
 
 
 
 
 
 Design &amp; Project Management:
 
 
 
 
 
 <ul>
 <li>
 Design management from inception to completion including post contract support.
 </li>
 <li>
 Examining the design consultants to maximize quality and value while minimizing the risk profile for the project.
 </li>
 <li>
 Managing third party and client technical and constructability reviews of deliverables.
 </li>
 <li>
 Managing designer procurement, contracts and performance.
 </li>
 <li>
 Engaging the technical resources required to challenge the designers to obtain the most beneficial balance of quality, value and risk overall.
 </li>
 <li>
 Providing regular progress reports on all of the above to the development manager.
 </li>
 <li>
 Checking all construction issue information.
 </li>
 <li>
 Monitoring the drawing production progress.
 </li>
 <li>
 Managing the information flow.
 </li>
 <li>
 Managing the incorporation of any comments.
 </li>
 <li>
 Checking the drawings and confirm approvals for the issue.
 </li>
 <li>
 Liaising with document controller for publication and down-loading of drawings.
 </li>
 <li>
 Ensuring the correct drawing procedure.
 </li>
 <li>
 Providing a report on planning and process.
 </li>
 <li>
 Ensuring correct specification as advised.
 </li>
 <li>
 Liaising with planning manager.
 </li>
 <li>
 Providing input into O&amp;M manuals.
 </li>
 <li>
 Assisting in the provision of an effective and efficient, high-quality engineering design
 </li>
 <li>
 Ensuring that all information relating to projects and assets is accurately recorded and stored appropriately.
 </li>

 Qualifications

 A proven track record of delivering high quality development management services across the full project lifecycle
 </li>
 <li>
 University Educated and Professionally qualified
 </li>
 <li>
 10 years of design / development experience
 </li>
 <li>
 Ability to handle heavy workload, and work effectively within a team
 </li>
 <li>
 Proficient usage of MS Programs Word, Excel, PowerPoint.
 </li>
 <li>
 Fluency in English (written and spoken) and a high degree of numeracy and literacy
 </li>
 <li>
 Excellent communication skills

 Great leadership skills
