Job Description &ndash; Company Secretary Position: Company Secretary Location: Dadar West Reports To: Board of Directors / Managing Director Industry: Textile Role Overview The Company Secretary (CS) will be responsible for ensuring that the company complies with statutory and regulatory requirements under the Companies Act, SEBI Regulations, and other applicable corporate laws. The CS will act as the key point of communication between the Board of Directors, shareholders, regulators, and other stakeholders, ensuring effective corporate governance and smooth secretarial practices.Key Responsibilities Statutory &amp; Compliance Ensure compliance with the Companies Act, 2013, SEBI (LODR) Regulations, and other applicable laws.Maintain and update statutory registers, records, and filings with the Registrar of Companies (ROC), Stock Exchanges, and other regulators.Draft, review, and file necessary forms, resolutions, and returns within prescribed timelines.Ensure compliance related to corporate governance standards.Board &amp; Shareholder Management Organize and coordinate Board Meetings, Committee Meetings, and General Meetings (AGM/EGM). Prepare agenda, notices, minutes, and resolutions for Board and shareholder meetings.Facilitate communication between the Board, shareholders, and management.Advise the Board on their legal and governance responsibilities.Corporate Governance &amp; Advisory Provide guidance on good governance practices and compliance with corporate governance norms.Advise management and the Board on legal, regulatory, and business matters.Ensure proper implementation of policies as per SEBI and MCA requirements.Secretarial &amp; Legal Functions Draft and vet agreements, contracts, and other legal documents.Liaise with regulators (ROC, SEBI, Stock Exchanges, RBI, etc.) and handle inspections/investigations.Oversee mergers, acquisitions, restructuring, and related due diligence processes.Other Responsibilities Manage shareholding pattern, dividend distribution, and investor relations.Monitor insider trading compliance and maintain related records.Keep abreast with amendments in laws, rules, and regulations affecting the company.Qualifications &amp; Experience Qualified Company Secretary (Member of ICSI).5&ndash;10 years of post-qualification experience in a listed/public limited company.Strong knowledge of Company Law, SEBI Regulations, FEMA, and Corporate Governance.Excellent drafting, communication, and interpersonal skills.Exposure to handling Board/Committee meetings independently.Key Skills Expertise in corporate law and compliance.Strong organizational and documentation skills.Ability to interact with Board members, regulators, and stakeholders.Analytical and problem-solving ability.High ethical standards and integrity.Job Types: Full-time, PermanentPay: &#8377;100,000.00 - &#8377;125,000.00 per monthBenefits:<ul><li>Health insurance</li><li>Provident Fund</li></ul>Education:<ul><li>Diploma (Required)</li></ul>Experience:<ul><li> 10 yr: 5 years (Required)</li></ul>Location:<ul><li>Dadar, Mumbai, Maharashtra (Preferred)</li></ul>Work Location: In person
