</div><p>We're seeking a Commercial Counsel to support our U.S. kyu Pulse entities with day-to-day legal matters, with a primary focus on commercial contracting and business transactions. This role will work closely with our agencies and their clients to facilitate deal-making while protecting our business interests. The ideal candidate will thrive in a fast-paced, creative environment and understand the unique legal challenges facing modern advertising and technology companies. This position offers significant growth opportunities and exposure to multiple companies within our network.</p>
<p><b>
KEY RESPONSIBILITIES</b></p>
<p>
Commercial Contracting (70%)</p>
<ul>
<li>Draft, review, and negotiate a high volume of commercial agreements for multiple kyu Pulse entities, including client services agreements, master services agreements, statements of work, vendor contracts, privacy, and partnership agreements</li>
<li>Support deal structuring and risk assessment for complex, multi-jurisdictional client engagements</li>
<li>Collaborate with business development teams to close deals efficiently while maintaining appropriate risk management</li>
<li>Develop and maintain contract templates and playbooks to streamline the contracting process</li>
<li>Manage contract lifecycle from negotiation through execution and renewal</li>
</ul>
<p>Product &amp; Service Development Support (20%)</p>
<ul>
<li>Advise on legal aspects of new product and service launches across multiple kyu Pulse entities</li>
<li>Support innovation initiatives and emerging technology implementations</li>
<li>Review and negotiate technology licensing agreements, software development contracts, and platform partnerships</li>
</ul>
<p>General Multi-Company Support (10%)</p>
<ul>
<li>Lead cross-functional legal initiatives spanning multiple kyu Pulse entities</li>
<li>Support strategic business development projects and new market expansion efforts</li>
<li>Assist with regulatory compliance projects affecting multiple companies</li>
<li>Participate in process improvement and legal operations initiatives</li>
<li>Handle ad hoc legal matters and special assignments as they arise</li>
<li>Support privacy and data protection compliance initiatives</li>
<li>Provide training to business teams on legal and compliance matters</li></ul><br>
<p><br>
<b>REQUIRED SKILLS AND EXPERIENCE</b></p>
<ul>
<li>Education: J.D. from an accredited law school</li>
<li>Experience: 3-5 years of commercial law experience, preferably in-house at a technology, media, or professional services company</li>
<li>Bar Admission: Licensed to practice law in the U.S.</li>
<li>Contract Expertise: Demonstrated experience drafting and negotiating complex commercial agreements, with particular strength in services agreements</li>
<li>Business Acumen: Strong understanding of business operations and ability to provide practical, business-oriented legal advice</li>
<li>Communication: Excellent written and verbal communication skills with ability to explain complex legal concepts to non-legal stakeholders</li>
<li>Technology: Proficiency with contract management systems and legal technology tools</li></ul><br>

<b>DESIRED SKILLS AND EXPERIENCE</b></p>
<ul>
<li>Experience in advertising, marketing services, creative agencies, or advertising technology</li>
<li>Familiarity with digital media, content licensing, and intellectual property matters</li>
<li>Experience with international commercial transactions</li>
<li>Background in privacy and data protection law (CCPA, GDPR, etc.)</li>
<li>Previous experience supporting creative or professional services businesses</li>
<li>Understanding of agency-client relationships and industry-standard terms</li></ul><br>

Total Compensation:</b></p>
<ul>
<li>Base Salary (USD): $150,000 - $190,000</li>
<li>Target Annualized Discretionary Bonus: 10%</li>
<li>Target Total Cash (USD): $165,000 - $209,000</li>
</ul>
