Responsibilities:</div><div></div><ul><li><br>
Provide legal advice and counsel on a wide range of corporate, commercial, and healthcare regulatory matters.</li><li>Draft, review, and negotiate complex agreements, including provider employment agreements, vendor and supplier contracts, real estate/lease agreements, and M&amp;A transaction documents.</li><li>Oversee corporate governance matters, including board resolutions, policies, and entity management.</li><li>Support due diligence, structuring, and integration activities in connection with acquisitions, joint ventures, and other strategic transactions.</li><li>Collaborate with HR to manage employment-related matters, policies, and investigations, ensuring compliance with applicable labor and employment laws.</li><li>Monitor changes in healthcare regulations and advise on compliance with federal and state laws, including HIPAA, Stark Law, Anti-Kickback Statute, and state dental/medical board requirements.</li><li>Manage outside counsel relationships and oversee cost-effective use of external resources.</li><li>Develop and implement policies, procedures, and training to improve risk management and operational efficiency.</li><li>Handle special projects and additional duties as assigned.</li></ul><div></div><div><br>
Requirements:</div><div></div><ul><li><br>
J.D. from an accredited law school and active license in good standing with at least one U.S. state bar.</li><li>10+ years of legal experience, with a strong background in corporate transactions, healthcare law, or a mix of law firm and in-house experience.</li><li>Experience with multi-site healthcare, dental, or physician practice management companies preferred.</li><li>Proven ability to draft and negotiate complex contracts and provide practical business-oriented solutions.</li><li>Strong understanding of healthcare compliance and regulatory frameworks.</li><li>Exceptional communication, collaboration, and problem-solving skills.</li><li>Ability to manage multiple priorities in a fast-paced, growth-oriented environment.</li><li>High integrity, sound judgment, and a proactive approach to risk management.</li></ul><p></p><p><i><br>

Title is tentatively <b><i>Director of Legal Services and Risk Management</i></b> or <b><i>General Counsel</i></b>.

Reporting directly to the CEO, this is a highly visible leadership role <b>working shoulder to shoulder with the executive leadership</b> and shapes enterprise‑level business, legal and risk strategy, supports organizational decision‑making, and helps drive performance across the company.</div><div></div><div><br>
As the sole attorney, this role is responsible for:</div><ul><li>overseeing all corporate legal functions and managing enterprise risk</li><li>provides strategic legal counsel to executive leadership</li><li>ensures compliance with applicable laws and regulations</li><li>manages contractual and project-related risks</li><li>leads initiatives to protect the company&rsquo;s reputation, safety, and financial success</li><li>provides oversight of professional liability insurance and engagement with external counsel as needed</li></ul><div></div><div><b><br>
The Successful Candidate</b></div><ul><li>Minimum 15+ years of progressive corporate counsel experience, including at least 10 years in a leadership role within a engineering professional services or related firm</li><li>Experience in risk management and professional liability insurance oversight</li><li>JD degree; an additional degree in Risk Management or Civil Engineering is highly desirable</li><li>Admission and good standing with a state bar</li><li>Has a business-minded approach with the ability to align legal strategy with broader organizational objectives and operational realities</li><li>Has a strong executive presence and high emotional intelligence</li><li>Proven experience partnering with business leaders to negotiate contracts with customers to close and managing change orders as needed</li><li>Ability to collaborate effectively with executives and operational teams, including paralegal/admin support</li></ul><div></div><div><b><br>
Location</b>: Remote or in-office flexible in Florida or Pennsylvania. Travel required up to 15%.</div><div><b>
