Job descriptionPosition: Company SecretaryExperience: 6 to 15 YearsLocation: CoimbatoreQualification: ACS / CS Qualified / ICSIResponsibilities:<ul><li>Regulatory Compliance (SEBI &amp; ROC): Ensure timely compliance with SEBI regulations, Companies Act, and other applicable statutory requirements for a Public Limited Company.</li><li>Board &amp; Committee Meetings: Organize and coordinate Board Meetings, AGM, EGM, and Committee meetings including drafting agendas, notices, minutes, and resolutions.</li><li>Statutory Audits &amp; Filings: Coordinate with statutory auditors, internal auditors, and regulators for audits, annual returns, and secretarial filings.</li><li>Corporate Governance: Maintain high standards of governance practices, safeguard company liabilities, and ensure adherence to corporate protocols.</li><li>Group Company Management: Handle compliances and secretarial responsibilities across multiple group companies.</li><li>Risk Mitigation: Identify legal/secretarial risks and provide recommendations to safeguard the organization from potential liabilities.</li><li>Stakeholder Management: Liaise with regulatory authorities, stock exchanges, shareholders, and internal departments for smooth compliance operations.</li><li>Ensure compliance with Companies Act, SEBI Regulations, and other relevant laws.</li><li>Maintain registers, records, and minutes of Board meetings.</li><li>Prepare agendas for Board meetings and take minutes.</li><li>Provide secretarial support to the Chairman and Board members.</li><li>Coordinate with internal stakeholders on company matters.</li></ul>Candidate Profile<ul><li>Proven experience with SEBI compliance and Public Limited Company protocols mandatory.</li><li>Prior experience in managing Group Companies is essential.</li><li>Strong communication and presentation skills.</li><li>Excellent drafting, documentation, and governance skills.</li><li>Good team player with strong cross-functional collaboration abilities.</li><li>High attention to detail and integrity in compliance handling.</li></ul>interested candidates can send their CVs to: hr1@klrf.in / 75399 74638 Job Types: Full-time, PermanentBenefits:<ul><li>Cell phone reimbursement</li><li>Health insurance</li><li>Provident Fund</li></ul>Application Question(s):<ul><li>Total years of experience?</li><li>Current CTC and Expected CTC ?</li><li>Available to join?
