Responsibilities:1. Preparation of agenda, notices, minutes of meetings as per the Companies Act, 20132. Convening and holding, board, committee and Annual General meetings (AGM)/meetings3. Familiarity with FEMA and RBI compliances.4. Preparing annual reports, drafting corporate governance policies etc5. Performs routine legal work following departmental templates.6. Vendor management agreements &amp; vendor management experience, POA , MOU ,Affidavits,NDA,Service Agreements, Royalty Agreements and other Agreements as per requirement .7. Assesses and reviews a variety of agreements like bank guarantees, supplier/dealer agreements, NDAs, AMCs, leave and license.8. Good working knowledge and experience in handling commercial property/ leasing related matters Commercial negotiation knowledge.9. Experience in adherence to and advising on statutory compliances.KPIs:- Holding of Board Meeting and AGM and book keeping.- Maintaining Books and Registers under Companies Act 2013- Filing of statutory Forms under Companies Act 2013- Knowledge about FEMA rules and All related RBI compliances.- Carrying out administrative and other secretarial duties as per Company requirements.
