Employment Type- Full-timeRoles &amp; Responsibilities-<ul><li>Lead and manage M&amp;A, private equity, venture capital, joint ventures, and strategic transactions, including end-to-end deal execution.</li><li>Independently handle legal due diligence, issue identification, risk assessment, and preparation of detailed due diligence reports.</li><li>Draft, review, negotiate, and finalize principal transaction documents, including-</li><li>Share Purchase Agreements (SPA)</li><li>Shareholders&rsquo; Agreements (SHA)</li><li>Investment Agreements</li><li>Asset / Business Transfer Agreements</li><li>Joint Venture Agreements</li><li>Commercial and technology contracts and ancillary documentation</li><li>Advise clients on transaction structuring, corporate governance, and compliance under the Companies Act, FEMA, SEBI (where applicable), and allied laws.</li><li>Act as a key point of contact for clients, counterparties, and external advisors.</li><li>Manage transaction timelines, closing deliverables, and post-closing compliances.</li><li>Supervise, review, and mentor associates and interns; oversee quality and consistency of work output.</li><li>Support partners in business development initiatives, client pitches, and proposals.</li><li>Track legal and regulatory developments impacting corporate and transactional practice areas.</li></ul>Required Skills &amp; Competencies-<ul><li>Strong command over corporate, commercial, and transactional laws.</li><li>Demonstrated experience in leading transactions and negotiations.</li><li>Excellent drafting skills with the ability to independently close transactions.</li><li>Strong client-management and stakeholder coordination skills.</li><li>Prior experience in a reputed law firm handling complex corporate transactions.</li><li>Significant exposure to M&amp;A, PE/VC, and cross-border transactions is an advantage.</li></ul>Application Process-Interested candidates are requested to submit their resume along with a cover letter highlighting their qualifications to hr@lexansh.com.
