Marmon's Corporate Legal team is now seeking an experienced commercial generalist with strong organizational and analytical skills and keen business acumen to join its client-focused law department.
 
 
This position will report to the Vice President Legal and Chief Compliance Officer (&ldquo;Legal Vice President &rdquo;). The position will be hybrid - a combination of time spent in Marmon Foodservice Technologies&rsquo; headquarters in Carol Stream, Illinois, work from home, as well as some travel as required.

What You'll Do: 
 
The Associate General Counsel (&ldquo;AGC&rdquo;) will be responsible for providing legal advice and counsel on a variety of commercial as well as global compliance matters and specifically will be required to:<ul><li>
Draft, review, and negotiate various types of agreements and advise senior management on sophisticated commercial transactions in the global marketplace, including counseling and guidance on appropriate risk allocation for strategic and core business transactions</li><li>
Work with business unit engineers and patent &amp; trademark counsel on product innovations and global intellectual property portfolio management</li><li>
Support key M&amp;A deals, financings, joint ventures, and strategic collaborations that will directly impact the success of the organization</li><li>
Conduct legal analysis and provide counsel on laws, rules, regulations, and policies related to business operations in the U.S. and globally, while consistently guarding against and providing timely evaluation of potential risks in contractual, regulatory, compliance, and other legal areas</li><li>
Assist in managing litigation and legal claims</li><li>
Provide analysis and counsel on various other substantive legal issues as they arise, including but not limited to employment law, bankruptcy law, competition law, regulatory issues, and risk management</li><li>
Cost-effectively manage outside counsel, which includes negotiating fixed fee and alternate fee arrangements with outside law firms, using technology to aid in reporting, and streamlining more routine processes and procedures such as e-billing, budget management, case management, knowledge management, and litigation reporting</li><li>
Collaborate with management and the business units to ensure compliance with Marmon&rsquo;s ethics and compliance policies, including Prohibited Business Practices Policy and Code of Conduct; Invention, Confidentiality, Communications, IT, and Respectful Workplace Policy; Intermediary Vetting Policy; Compliance with Trade Laws Policy; and Data Privacy and Joint Controller Policy</li><li>
Support the business units in promoting Marmon&rsquo;s Supplier Code of Conduct and oversee related vendor assessments related to the risk of unethical conduct such as forced labor and human trafficking</li><li>
Work closely with Legal department colleagues on strategic initiatives and general legal issues; collaborate with colleagues to analyze and implement various projects, including improvements on data metrics, reporting, and automation, as well as outside counsel expenditures and performance.</li><li>
Develop, implement, improve, and continuously review legal and compliance processes, procedures, and training</li></ul>

What You'll Bring to the Role:<ul><li>
A J.D. from an accredited law school, with proven academic success</li><li>
At least 12 years of broad commercial law experience with the ability to influence outcomes and manage ever-increasing transactional complexity, while providing client counseling of the highest quality; experience with global business transactions is desired; familiarity with substantive issues relating to manufacturing is key</li><li>
Proven ability to effectively lead a cross-functional team and drive transactions and initiatives to completion in a fast-paced and entrepreneurial setting</li><li>
Excellent interpersonal skills, with an ability to inspire trust and confidence with stakeholders at all levels by virtue of keen business acumen, professional competence, integrity, and authentic personal style</li><li>
Ability to handle sensitive situations tactfully yet firmly, to be assertive without being adversarial, and to take unpopular positions when necessary while maintaining trust and credibility</li><li>
Strong written and communication skills, including the ability to clearly and concisely articulate complex legal concepts to a lay audience</li><li>
Proven success in managing, organizing, and/or completing multiple tasks and priorities</li><li>
License to practice law and in good standing under the Bar of any state that enables admission to practice as in-house counsel in Illinois</li></ul>
Pay Range:
183,333.60 - 275,000.40

Associate General Counsel - Foodservice Technologies

As a key member of Marmon&rsquo;s Corporate Total Rewards team, the Compensation Analyst supports the Center of Expertise for Marmon&rsquo;s enterprise compensation programs and serves as an advisor to our HR partners at the Group and business level. Reporting to the Manager, Compensation, and in partnership with other Corporate functional areas, this role is accountable for delivering a blend of compensation expertise and tactical support, including administering cyclical compensation and performance processes, managing salary survey participation, and ensuring compliance. The position also supports the development of tools, technology, and market pricing guidance, while contributing to enterprise initiatives such as job architecture and pay harmonization to maintain competitive and compliant compensation practices across the organization.
What You'll Do:<ul><li>
Annual/Quarterly Compensation Processes<ul><li>
Support the development of tools, communications and Workday configuration for the annual merit and incentive process including effective tools, guidance, training and other issue resolution support for the HR partners and managers during the planning cycle</li><li>
Support execution of the performance management process including communications and Workday configuration</li><li>
Support annual development and evolution of total compensation statements</li><li>
Identify process improvements and technology enhancements for Rewards programs and implement solutions in partnership with other internal partners (i.e., HRIS, finance)</li><li>
Provide support to partner with the finance team to deliver quarterly reporting for the incentive plan accrual and other quarterly close needs</li><li>
Complete participation in all salary surveys and other ad hoc surveys on behalf of Marmon throughout the year</li><li>
Assist in managing information and data flows for the administration of various leadership programs including, but not limited to, the supplemental 401k/deferred compensation and LTIP</li><li>
Provide guidance to ensure HR partners are able to meet regulatory/compliance requirements on for their compensation programs an ongoing basis</li></ul></li></ul><ul><li>
Consulting/Business Advisory<ul><li>
Support HR partners in accessing market information for competitive pay analyses including maintenance of any pricing systems</li><li>
Create market pricing guidance and tools to allow HR partners to effectively manage compensation competitiveness in their local markets</li><li>
Support the development of enterprise compensation programs, technology and tools that can be deployed at the corporate level and implemented in support of our individual businesses</li><li>
Support the Manager, Compensation in establishing and maintaining effective relationships with external advisors, plan administrators and other vendors</li><li>
Ensure accurate and timely updates to Compensation related materials on @Marmon (intranet site) and support development of new materials for the site.</li></ul></li></ul><ul><li>
Ad Hoc Responsibilities/ Projects<ul><li>
Provide analytical support and project management for special projects such as job architecture and pay/incentive harmonization efforts</li><li>
Support the Manager, Compensation as the owner of the compensation module of MPower in partnership with the HRIS team</li><li>
Review and pay invoices for outside professional/consulting and other services</li></ul></li></ul>

What You&rsquo;ll Bring to the Role:<ul><li>
Bachelor&rsquo;s degree in finance, accounting, or related field with 2+ years of compensation experience</li><li>
Consulting experience, MBA or other related advanced degree highly desirable</li><li>
Demonstrated experience as a business consultant on compensation issue/data resolution and maintenance. Global experience highly desirable</li><li>
Proficiency using HRIS platform(s); Workday experience ideal</li><li>
Experience on large-scale projects entailing change management support</li><li>
Knowledge of legal requirements and government reporting/regulations affecting compensation programs to ensure continuous compliance</li><li>
Advanced proficiency with Microsoft Office software products; particularly Excel, PowerBI, and PowerPoint</li><li>
Superior written and verbal communication, including the ability to communicate effectively across all levels of the organization</li><li>
Strong business and financial acumen</li><li>
Excellent time management, critical thinking, and decision-making skills with a bias toward action</li><li>
