McCarthy Holdings, Inc., is currently searching for a Regional Counsel to support its Southern Region. This position will be located in our Dallas, Texas office and will report to the Vice President Legal.</div><div>

The Regional Counsel will provide legal guidance in support of McCarthy&rsquo;s operations throughout the project life cycle. This is a highly visible position that involves significant partnering with the Vice President Legal on complex matters, as well as significant collaboration with leadership of the Southern Region, and interaction with stakeholders at all levels throughout the organization. The Regional Counsel position entails being a team member in a forward-thinking, dynamic Legal Department that is highly integrated and well-respected within the organization. Key Responsibilities</b></div><div>
</div><ul><li>
Identify and communicate legal risks and opportunities while demonstrating a deep understanding of construction contracting matters, industry trends, and business needs.</li><li>
Articulate risks and opportunities in clear and understandable terms to help project teams understand contracts and/or claims and make timely and informed decisions.</li><li>
Proactively engage other stakeholders and subject matter experts as appropriate to address anticipated legal issues.</li><li>
Exhibit the highest standards of integrity and professionalism consistent with McCarthy values.</li><li>
Embody McCarthy values to foster positive relationships internally and externally, and promote a positive image within the legal and construction communities.</li><li>
Assist in all aspects of private and public construction law including prevailing wage mandates, union issues, competitive bidding requirements, delay claims, warranty issues, subcontractor claims, liens, stop notices, and bond claims, among others.</li><li>
Manage subcontractor defaults; work with project teams to ensure that McCarthy&rsquo;s interests are properly protected by subcontractors&rsquo; bonding companies; and manage litigation arising out of any contractual breach by subcontractors and/or their sureties.</li><li>
Draft memoranda, correspondence, and reports summarizing legal research and offer opinions regarding liability, risk transfer, and exposure.</li><li>
Manage outside counsel and assist with document requests, discovery responses, and review of draft pleadings.</li><li>
Coordinate with the Risk Management department relating to builder&rsquo;s risk, general liability, professional liability and other insurance issues; work with project teams relating to coverage for construction defect, builder&rsquo;s risk, auto, worker&rsquo;s compensation, and property damage claims.</li><li>
Provide legal guidance relating to communications with various national, state, and local regulatory agencies; assist in responding to investigations by applicable regulatory agencies; manage outside counsel during administrative hearing processes.</li><li>
Help prepare for and attend mediation and arbitration.</li><li>
Provide timely, accurate analysis of project owner agreements, prepare written memoranda and executive summaries, and lead contract review meetings.</li><li>
Recommend contract modifications and negotiation strategy in collaboration with McCarthy&rsquo;s Operations partners.</li><li>
Participate in relevant peer groups to drive consistency and adaptation of best practices.</li><li>
Develop new agreements as needed and, in collaboration with peers, update McCarthy&rsquo;s library of templates in response to changes in legislation and industry trends.</li><li>
Review and respond to subcontractor and supplier requests to modify McCarthy&rsquo;s agreements.</li><li>
Conduct contract trainings for McCarthy team members.</li></ul><div>

Qualifications</b></div><ul><li>
Juris Doctorate from an ABA accredited law school and licensed in at least one U.S. state.</li><li>
Minimum of 5 years&rsquo; experience as an attorney.</li><li>
Experience working with construction agreements and familiarity with construction law.</li><li>
Ability to communicate complex legal concepts to McCarthy team members in a straightforward manner.</li><li>
Excellent verbal and written communication skills.</li><li>
Strong interpersonal skills and ability to work with a wide variety of people.</li><li>
Proven ability to handle multiple projects, prioritize, and meet deadlines.</li><li>
Meticulous attention to detail and quality of work product.</li><li>
Ability to work independently and determine creative solutions.</li><li>
Versatility, flexibility, and willingness to adapt to constantly changing priorities with enthusiasm.</li></ul><p><i>
