<div></div><div><b>Summary of Responsibilities
</b></div><div>The Real Estate Attorney will assist the Associate General Counsel and Real Estate Development market teams with complex commercial and industrial real estate transactions from initial contract through due diligence, leasing, financing, closing, construction and disposition.</div>
<div></div><div><b>Essential Job Functions</b></div>
<ul><li>Draft, review, and negotiate purchase and sale agreements.</li>
<li>Manage and oversee the legal functions related to the acquisition and disposition of properties.</li>
<li>Draft, review, and negotiate commercial leases, estoppels, and subordination agreements.</li>
<li>Review and negotiate financing agreements with lenders.</li>
<li>Review title commitments and surveys, prepare title/survey objection letters, and interface directly with Merus paralegals, title companies, and surveyors to resolve any issues or discrepancies.</li>
<li>Review environmental reports and work to resolve any identified issues.</li>
<li>Draft, review, and negotiate development agreements with third-party partners.</li>
<li>Draft operating agreements and joint venture agreements with investors and partners.</li>
<li>Draft and negotiate construction agreements with owners.</li>
<li>Research legal matters as needed, including but not limited to corporate and real estate law.</li>

<ul><li>J.D. from an accredited law school and a valid license to practice law.</li>
<li>Proficiency in the Microsoft Office Suite (with strong emphasis on Word and Excel).</li>
<li>2-5 years of commercial real estate law practice experience.</li>

<div>The Project Manager is the overall project leader and has complete responsibility for his/her projects, starting at initial client contact and ending when the project closeout is completed. The PM ensures that their projects meet all internal and external expectations for client satisfaction, budget, timing, quality and safety.</div>
<div></div><div><b>Essential Job Functions</b></div>
<ul><li>Leader in maintaining positive client relations throughout the project's design, construction, and closeout cycles</li>
<li>Review preliminary and final designs and shop drawings for construction feasibility, efficiency, and conformance with project objectives</li>
<li>Maintains subcontractor relations through the solicitation, evaluation, award, design, construction and closeout phases</li>
<li>Provide sufficient oversight and instruction to the project superintendent to ensure that the project meets its goals and the company's standards for safety, quality, efficiency, and corporate image. This may require on-site management</li>
<li>Estimates, quotes, and negotiates all change orders with the client, subject to supervisor&rsquo;s approval as needed</li>
<li>Leads and coordinates meetings as needed with the client, design team, superintendents, and service partners</li>
<li>Manages project budget control, billing, and close-out processes, as well as project communications and documentation</li>
<li>Participates in development, Design/Build, and/or lease sales efforts</li>
<li>Ensures that the preliminary design, estimate, and proposal conform to the client's needs and expectations for budget, aesthetics, scope, and schedule.</li>
<li>Assist in negotiations of construction contract terms with clients.</li>
<li>Engage A&amp;E Group, communicate, and assist in managing design to meet project requirements and goals.</li>
<li>Pre-qualify or engage subcontractors and suppliers as required.</li>
<li>Monitor project performance (i.e. design, buy-out, schedule finance etc.)</li>
<li>Point responsibility for monitoring the financial performance of the assigned projects.</li>
<li>Develops and maintains project schedule</li>
<li>Develops and participates in project quality control plan</li>
<li>Maintains project documentation, including meeting minutes, RFI&rsquo;s, and drawing logs</li>
<li>Manage multiple projects simultaneously</li>

<ul><li>Successfully completed a Bachelor&rsquo;s Degree in Engineering or Construction Management.</li>
<li>Minimum 5 years construction experience, post Bachelor&rsquo;s Degree.</li>
<li>Multifamily and design build experience is preferred.</li>
<li>Experience with computerized project management tools (i.e., scheduling, job cost, bid analysis software packages)</li>
