<div>Summary

This is an opportunity for a relatively junior attorney to become a valued member of a small in-house legal department supporting a dynamic, well-established services company. Responsible for providing a wide range of legal services to NAES Corporation and its various business units and subsidiaries. Work directly with executive, legal, business development, estimating, and operations personnel. Oversee performance of outside legal counsel, as applicable, including litigation management. Advise on mitigating risk and protecting NAES&rsquo;s interests in its dealings with customers, suppliers, regulators, and employees. Advise on compliance with applicable international, federal, state and local laws, as well as company policies and procedures. Support and improve NAES&rsquo;s compliance programs. Provide legal and risk training to stakeholders.

Primary Duties
<ul>
<li>Develop a deep understanding of NAES&rsquo;s business units, their customers and suppliers, and the competitive landscape in which they function.</li>
<li>Support compliance reporting, policy development, and oversight of compliance programs.</li>
<li>Participate in the initial evaluation of new business opportunities; review and provide legal advice on requests for proposals; review, comment, mark-up, and/or advise on contract terms, and company proposals.</li>
<li>Develop and improve contract templates for use with customers, suppliers, and subcontractors, as warranted, handle contract drafting, review and negotiation.</li>
<li>Propose alternative approaches to achieve desired ends in light of business risks and customer issues.</li>
<li>Provide advice and training to corporate and project management personnel</li>
<li>Address customer/vendor contracting issues and disputes; coordinate and manage disputes assigned to outside counsel while effectively managing internal/external legal costs.</li>
<li>Design and implement strategic education and training initiatives to raise company personnel awareness of risk issues and ensure compliance with company policies and procedures.</li>
<li>Provide legal advice on employment and labor matters, drawing in subject matter experts as needed. Contribute to refinements and updates to employee handbooks and employment-related policy documents.</li>
<li>Perform corporate governance/secretarial work</li>
<li>Participate in due diligence and other aspects of M&amp;A practice.</li>
<li>Perform other duties and projects as assigned.</li>

Scope of Responsibilities

Make decision within policy constraints. Perform duties independently with general or limited directions. Determine own practices and procedures, contributing to the development of new concepts. Position entails recurring work situations with frequent variations involving a high degree of complexity. Establish contacts inside and outside the company, including with NAES customers, internal department personnel, immediate associates, vendors, and own supervisor. Contacts are usually made on own initiative concerning matters requiring explanation, discussion, interpretation or approvals. This position has compliance accountability and manages vendors consistent with budgets.

Compensation
The initial salary will range from $163,000 to $187,450

Working Relationships

This position reports directly to the VP, Legal &amp; Compliance and has no direct reports. Position may support responsibilities of other attorneys within the NAES Legal Department.

Education and Experience

Graduation from an accredited law school and active membership in good standing with the Bar Association (or ability to obtain reciprocity admission). 4-6 years' work experience as an attorney, with prior law firm (or equivalent) and/or in-house experience. Client counseling experience required. Experience with employment law preferred. One or more of the following desired: insurance, construction, compliance, commercial contracts, international, energy and litigation.

Physical Requirements and Working Conditions

Available for business hours Monday through Friday. A hybrid work schedule may be negotiable, though regular presence in the office is required. Travel may be required to meet client or project requirements. Extended hours may be required during travel or due to variable workload and project specific requirements.

Summary

The Executive Director of Insurance is responsible for developing and leading due diligance at E3 and vertically integrating services for our clients. Evaluate insurance-related aspects of capital-intensive projects, and ensure comprehensive risk assessment, compliance, and alignment with technical, financial, and legal standards. Business development, leadership and industry reputation will be pivotal in shaping E3's strategy in the insurance due diligence space, leveraging expertise as well as network and industry relationships to grow E3&rsquo;s business footprint in the insurance space.

Primary Duties

Strategy Implementation:
<ul>
<li>Work collaboratively with E3&rsquo;s VP, Operations to develop E3&rsquo;s insurance due diligence practice, including best practices and tools</li>
<li>Hire and lead the team members required to provide a fully functional and successful practice</li>
</ul>
Insurance Due Diligence:
<ul>
<li>Conduct detailed reviews of contracts, insurance policies, endorsements, and certificates to assess coverage adequacy for project risks, compliance with lender/owner requirements, and alignment with technical and operational needs</li>
<li>Evaluate claims histories, risk profiles, and coverage gaps for high-value energy, infrastructure, and industrial projects</li>
</ul>
Technical Expertise:
<ul>
<li>Collaborate with technical and engineering teams to ensure insurance policies adequately cover specialized equipment, machinery, and operational risks</li>
<li>Assess project-specific risks such as environmental impact, construction defects, operational hazards, and force majeure events</li>

Project Management and Insurance Lead

Business Development:

<li>Lead efforts to drive new business by attending conferences, contacting and/or visiting clients and developing proposals for projects</li>

Compensation

The initial compensation will range from $195,700 - $225,000.

Education and Experience

<li>Education: Bachelor&rsquo;s degree from an accredited college or university recognized by the United States Department of Education or equivalent. Relevant work experience may be substituted for education on a year-for-year basis.</li>

Summary

The primary focus of the Executive Director - Thermal position is to conduct technical and commercial due diligence related to thermal power and other energy infrastructure projects for the purpose of supporting project financing or acquisitions/divestures. In addition, the position requires the skills to provide owner&rsquo;s engineering/development support and technical advisory services to our clients. The person in this position will provide services that fall within each of the stages of a project&rsquo;s lifecycle, including development, pre-financing, financing, construction, performance testing, O&amp;M review, divestiture, decommissioning and redevelopment. The Executive Director &ndash; Thermal may also participate in restructuring consulting for distressed assets. This is a senior level role, requiring subject matter expertise in thermal technologies and the design and construction thereof. E3 is a seller-doer model, and as such an Executive Director is required to actively participate in business development, including bringing in new projects and clients to support the overall team objectives.

Primary Duties
<ul>
<li>Review and opine on technical terms in commercial documents including but not limited to equipment supply agreements, EPC agreements, offtake agreements, construction management agreements</li>
<li>Understand typical market terms and conditions related to technology risks, construction budgets and schedules as well as &ldquo;bankable&rdquo; terms and conditions</li>
<li>Review project schedules and project capital costs and opine on their adequacy to ensure the project will be completed as planned and in accordance with the completion requirements of projects</li>
<li>Review and remain familiar with the contingency requirements of the various types of projects</li>
<li>Capable of reviewing and preparing estimates for construction costs, including change orders</li>
<li>Provide construction monitoring services, including visiting construction sites and/or warehouses to form an opinion on construction schedule and budget progress as well as identify any issues and then providing certificates and monthly analysis/reporting on same</li>
<li>Witness performance testing for natural gas-fired power plants. Review and comment on the test procedure prior to commencement of testing and then review test results post-testing.</li>
<li>Understand typical environmental and regulatory requirements of thermal power plants</li>
<li>Review financial model to confirm reasonableness of construction costs associated with the technology employed and long-term capital expenditures</li>
<li>Serve as a team lead, with potential for future team member direct reports</li>
<li>Serve as Project Manager on projects in area of expertise</li>
<li>Serve as individual contributor and subject matter expert to other Project Managers</li>
<li>Serve as client interface, both for project work and business development</li>
<li>Work with subconsultants, if necessary, to complete the team with a specialized skillset</li>
<li>Actively contribute to business development and generate new business</li>
