This role is ideal for a compliance-driven professional with hands-on experience in IPO, capital markets, and corporate governance.Key ResponsibilitiesIPO &amp; Capital Market Responsibilities<ul><li>Lead and manage IPO-related compliances, including:</li><li>DRHP / RHP coordination</li><li>Handling SEBI observations and responses</li><li>Stock exchange filings (BSE / NSE)</li><li>Liaise with Merchant Bankers, Legal Advisors, Auditors, and RTA</li><li>Ensure compliance with SEBI ICDR Regulations, LODR Regulations, and other applicable laws</li><li>Support pre-IPO restructuring, capital re-alignment, and shareholder documentation</li></ul>Corporate Governance &amp; Secretarial<ul><li>Act as Secretary to the Board, Committees, and Shareholders</li><li>Draft agendas, notices, minutes, resolutions, and governance reports</li><li>Ensure compliance with:</li><li>Companies Act, 2013</li><li>MCA &amp; ROC requirements</li><li>RBI &amp; FEMA (where applicable)</li><li>Maintain statutory registers, filings, and corporate records</li></ul>Post-Listing &amp; Ongoing Compliance<ul><li>Manage ongoing listed company compliances</li><li>Oversee quarterly, annual, and event-based disclosures</li><li>Support investor communications and governance reporting</li><li>Ensure timely filings with stock exchanges and regulatory authorities</li></ul>Advisory &amp; Leadership<ul><li>Advise the Board and Promoters on corporate governance best practices</li><li>Identify regulatory risks and ensure strong compliance frameworks</li><li>Support corporate actions including:</li><li>ESOPs</li><li>Preferential Issues</li><li>Rights &amp; Bonus Issues</li><li>Build and manage the Secretarial &amp; Compliance function</li></ul>Candidate Profile<ul><li>Qualified Company Secretary (CS)</li><li>Minimum 2+ years of relevant experience</li><li>Exposure to IPO / listed company compliance preferred</li><li>Strong knowledge of corporate laws and regulatory frameworks</li><li>Excellent drafting, coordination, and stakeholder management skills</li></ul>Interested candidates may apply or share their CV via LinkedIn DM / email at teampridhant@gmail.com (Hiring managed by Pridhant Advisory)Job Type: Full-timePay: ₹25,000.00 - ₹300,000.00 per monthWork Location: In person
