 We are looking for an experienced,
 
 Russian-speaking
 
 lawyer specializing in Special Situations complex corporate matters involving
 
 shareholder relations, control, litigation
 
 , and
 
 risk management
 
 . The role requires strategic judgment and hands-on legal expertise to support decision-making and ensure alignment within multi-layered shareholder and holding structures, often governed by English law.
 
 
 Responsibilities:
 
 
 <ul>
 <li>
 Develop and implement legal strategies to protect shareholder and company interests
 </li>
 <li>
 Prepare legal positions, procedural documentation, and evidence for corporate litigation
 </li>
 <li>
 Represent the company in court proceedings and supervise external counsel
 </li>
 <li>
 Navigate complex shareholder networks and ensure consistent governance and control
 </li>
 <li>
 Draft, review, and amend shareholder agreements, voting and ownership frameworks, including those governed by English law
 </li>
 <li>
 Establish internal mechanisms for resolving sensitive corporate situations and ensuring compliance
 </li>
 <li>
 Advise senior management and shareholders on corporate governance, structure, and legal risks
 </li>
 <li>
 Support restructuring and transformation of ownership and holding chains
 
 
 
 </li>
 </ul>
 Requirements:
 
 
 <ul>
 <li>
 8+ years of experience in corporate law, litigation, or special situations within holding groups, investment firms, or financial institutions
 </li>
 <li>
 Proven record in shareholder-related matters and maintaining governance integrity in multi-jurisdictional structures
 </li>
 <li>
 Strong knowledge of corporate, commercial, and procedural law, including practical experience with English law documentation and principles
 </li>
 <li>
 Experience managing complex ownership structures and multi-stakeholder decision-making
 </li>
 <li>
 Fluent in English and Russian
 </li>
 <li>
 Core traits: strategic insight, precision, diplomacy, and discretion
 
 </li>
