Overview
 
Reporting to the SVP, Corporate& Securities Counsel, the VP, Securities Counsel& Assistant Secretary provides expert counsel on securities law compliance and corporate governance matters for RGA and its subsidiaries. This role also serves as assistant corporate secretary, managing board and committee governance while ensuring compliance with federal securities regulations, SEC reporting requirements, and corporate disclosure obligations. As a seasoned legal expert, the successful candidate will deliver strategic advice, lead complex projects, and collaborate effectively with internal stakeholders and external partners to support the company's regulatory and governance objectives.
 
Location: ideally based at RGA's HQs in St. Louis, MO, or for an exceptional candidate a fully remote work arrangement may be considered, or also based in RGA's newly opened New York City office.
 
Key Responsibilities
 
<ul>
<li>Accountable for collaborating and communicating with legal and business colleagues to perform highly complex assignments and resolve unusual or challenging legal issues.</li>
<li>Serve as assistant corporate secretary for the public company and regulated and unregulated subsidiaries, including organizing board and committee meetings, preparing agendas, minutes and resolutions, and maintaining corporate records.</li>
<li>Support board governance, including director onboarding, meeting preparation, compliance with applicable listing standards and regulatory requirements, and effective governance best practices.</li>
<li>Advise on public company securities law matters, including Securities Act of 1933 and Securities Exchange Act of 1934 compliance, SEC filings, disclosure obligations, and related policies.</li>
<li>Prepare, review, and file periodic and current reports (e.g., Forms 10-K, 10-Q, 8-K), proxy statements, registration statements, and other SEC documents.</li>
<li>Coordinate with internal and external stakeholders (including board members, auditors, regulators, and outside counsel) on securities and governance matters.</li>
<li>Apply seasoned expertise, knowledge, and experience to identify legal issues and provide advice on alternatives to mitigate risk to the enterprise while achieving client goals and objectives.</li>
<li>Manage legal research and analysis of highly complex, unusual or challenging legal issues and questions using appropriate resources.</li>
<li>Other legal and management matters and projects as assigned.</li>

Candidate Requisites
 
Education& Experience
 
<ul>
<li>Law Degree (JD): from accredited law school</li>
<li>Bachelor’s Degree in Arts/Sciences (BA/BS): from accredited university or college</li>
<li>12+ Years: experience as an attorney in a law firm or in a corporate legal function</li>
<li>Experience advising public companies on corporate governance, securities law compliance, and SEC reporting</li>
<li>Business, finance or accounting degree or experience; working knowledge of concepts, terminology and practices</li>
<li>Licensed to practice law in relevant legal jurisdiction</li>

Overview
 
TheManaging Counsel, Collateral& Investments will: 
<ul>
<li>Work independently to provide experienced legal advice specializing incollateral management and private investment transactions, including advising on structuring collateral arrangements and reviewing, drafting and negotiating private investment transactions, investment management agreements, secured transaction documents, and collateral agreements.</li>
<li>Provide an experienced level of timely, high-quality legal advice and assistance to other RGA attorneys and business clients with an emphasis on investment operations and collateral structures.</li>
<li>Demonstrate a commitment to being a trusted strategic partner to reinsurance counsel, investment teams, business units, and senior management with a responsive, service-oriented attitude and strong work ethic.</li>

What you will do
 
<ul>
<li>Collaborate and communicate with other members of the RGA reinsurance legal team and business clients, including reinsurance, investments and treasury teams, to perform highly complex assignments and projects.</li>
<li>Provide seasoned, deeply experienced level of timely, high quality legal advice and support in the structuring of collateral arrangements; review, negotiate and document secured transactions, including trust agreements, collateral documents, security agreements, and UCC filings and related documentation; and providing pro-active guidance on contractual and regulatory compliance.</li>
<li>Negotiate, review and prepare documentation for fund investments and a variety of other alternative asset investments, including to ensure compliance with applicable collateral requirements and to navigate complex partnership tax implications and securities law and ERISA compliance matters; provide legal support to investment teams in alternative asset structuring and risk assessment; assist on due diligence reviews; and advise on legal and regulatory matters affecting collateral management and investment activities.</li>
<li>Review, draft, and negotiate complex investment management and other related agreements, together with ensuring compliance with all applicable insurance and securities laws; provide other strategic legal counsel to investments team on related matters.</li>
<li>Provide advice and assistance to the reinsurance legal and business teams as needed in structuring, negotiating and documenting complex reinsurance transactions.</li>
<li>Serve clients and provide legal services and advice at a level commensurate to a partner in a law firm.</li>
<li>Collaborate on other projects as assigned.</li>
</ul>
Qualifications
 
<ul>
<li>Law degree from a United States accredited law school</li>
<li>Bachelor’s Degree in Arts/Sciences (BA/BS) Business, finance or accounting degree or equivalent experience: working knowledge of concepts, terminology and practices</li>
<li>10+ Years experience as an attorney in a law firm or in a corporate legal function</li>
<li>Expert-level experience with complex transactions involving fund formation or other alternative assets is a preferred asset</li>
<li>Deep experience, expertise and knowledge of legal and contract terminology and methods, and business and financial knowledge</li>
<li>Highly experienced ability and expertise to identify and interpret business and contract issues</li>
<li>Experienced and demonstrated ability to interact and work collaboratively and constructively with people at various levels within and outside the organization</li>
<li>Experience in a global business enterprise with re/insurance, investment management or other financial services operations is a preferred asset</li>
