Position Summary</div><div>
This position will support the legal department in preparing and organizing various legal documents to support the Lottery business.</div><div></div><div>
Job Functions:</div><ul><li>
Assist with Intellectual Property (IP) matters, including:</li><li>
Conducting trademark availability and clearance searches using internal and external tools.</li><li>
Preparing, filing, and maintaining trademark applications, renewals, and assignments.</li><li>
Drafting and managing cease-and-desist letters, trademark enforcement correspondence, and responses to third-party actions.</li><li>
Maintaining IP portfolios and databases (including docketing and status tracking).</li><li>
Coordinating with outside counsel and business units on IP-related filings, disputes, and brand protection efforts.</li><li>
Supporting preparation of IP-related disclosures, audits, and due diligence materials.</li></ul><ul><li>
Maintaining, managing and updating the Legal Department&rsquo;s contract management solution and document repository; proficiency with the IntelAgree&trade; platform a plus.</li><li>
Drafting, revising, proofreading, and editing contractual documents (such as nondisclosure agreements and standard form subcontracts and consulting agreements)</li><li>
Receiving and filing signed agreements in the Legal Department records platform and managing distribution of documents to other departments as directed</li><li>
Maintaining detailed contract summary information for distribution to corporate business units</li><li>
Preparing information for disclosures related to proposals, contracts, regulatory filings, government investigations and responses to other inquiries as needed</li><li>
Process requests for notarization and obtaining apostille, as directed</li><li>
Receiving and responding to inquiries from internal clients</li><li>
Updating and distributing information and other documentary records within Legal Department and to other departments</li><li>
Preparing and filing business licenses and other registrations</li><li>
Infrequent administrative duties (such as periodic travel arrangements and expense reports)</li></ul><div></div><div>
Qualifications</div><div>
Position Requirements/Qualifications:</div><ul><li>
Bachelor&rsquo;s degree or paralegal certificate preferred</li><li>
Minimum of 8 years of corporate or commercial Paralegal experience, preferably with previous experience in an in-house legal department</li><li>
Experience with drafting and reviewing a myriad of standard form contracts including NDAs and other commercial agreements</li><li>
General commercial legal operations experience</li><li>
Experience supporting Intellectual Property functions, including trademark searches, filings, and correspondence.</li></ul><div>
Skills/Abilities:</div><ul><li>
Exceptional organizational skills and attention to detail</li><li>
The ability to prioritize multiple projects and assignments</li><li>
The ability to communicate clearly and concisely with persons at all levels of the company, including executive management</li><li>
Ability to work in a team environment, including in cross-departmental circumstances</li><li>
Must have working knowledge of legal and contractual terminology and concepts</li><li>
General knowledge of corporate governance and organizational principles</li><li>
First-rate interpersonal skills</li><li>
Creative thinker</li><li>
Must be willing to ask questions and learn quickly</li><li>
Foreign language skills, Spanish and/or French in particular, are desirable, but not necessary</li><li>
Excellent knowledge of Microsoft office products required, particularly with Power Point and Excel</li></ul><div></div><div>
