Purpose 
Contributes to the overall success of the U.S. Legal Department by providing day-to-day legal support on a broad range of matters across multiple businesses and operations of the Bank&rsquo;s U.S. Global Banking &amp; Markets (GBM) business, with a primary focus on Prime Services. 
What You&rsquo;ll Do 
<ul><li>
Provide day-to-day legal advice and support to Scotiabank&rsquo;s Prime Services and Collateral Management &amp; Funding businesses, advising the front office and other internal stakeholders on legal and regulatory matters related to the business.</li><li>
Independently draft and/or assist the documentation team with the review and negotiation of a wide range of agreements, including ISDA Agreements, total return swaps, interdealer/funding conduit agreements, custody agreements, and other transaction documents, including equity derivative documentation.</li><li>
Assist in updating or creating standard templates, as required.</li><li>
Monitor and maintain an awareness of the regulatory environment for emerging legislation and policy statements, along with relevant trends and industry best practices applicable to Scotiabank&rsquo;s combined U.S. operations and advise internal stakeholders on the same.</li><li>
Partner with internal stakeholders to build robust processes for managing legal and regulatory risk.</li><li>
Contribute to a customer-focused culture to deepen client relationships and leverage broader Bank relationships, systems, and knowledge.</li><li>
Advise internal stakeholders, including the front office and other corporate functions, in rolling out key strategic projects and new business initiatives.</li><li>
Analyze legal and regulatory issues in area of practice and provide timely and well-researched work product to clients on complex legal matters.</li><li>
Contribute to efficient and effective relationships with outside counsel and manage legal costs and invoices.</li><li>
Understand how the Bank&rsquo;s risk appetite and risk culture should be considered in day-to-day activities and decisions.</li><li>
Demonstrate a proactive approach to developing competency in unfamiliar practice areas.</li><li>
Pursue effective adherence to Scotiabank&rsquo;s Values and its Code of Conduct, while ensuring the adequacy, adherence to, and effectiveness of business controls to meet obligations with respect to operational, compliance, AML/sanctions, and conduct risk.</li></ul> 
What You&rsquo;ll Bring 
<ul><li>
J.D. and licensed attorney in good standing admitted or otherwise authorized to practice law in the in the state/jurisdiction in which the position is based.</li><li>
Minimum of 3 years in large international law firm and/or equivalent in-house experience at a large bank.</li><li>
Direct experience with equity derivatives and synthetic prime brokerage services, including negotiation of Master Confirmation Agreements under the ISDA framework.</li></ul>

 What You&rsquo;ll Do

 Drafts, reviews, and negotiates a wide range of commercial and procurement contracts, including master services agreements, license agreements, business process outsourcing agreements, market data agreements and SaaS agreements.
 </li>
 <li>
 Advises on bespoke issues as part of contractual negotiations, including IP protections, cybersecurity, data privacy, artificial intelligence and regulatory compliance in the context of financial services.
 </li>
 <li>
 Supports various business lines and corporate functions with the review and negotiation of non-disclosure agreements.
 </li>
 <li>
 Assists with the risk review and diligence of third-party suppliers, including providing advice on regulatory developments and analysis of contractual provisions in commercial contracts.
 </li>
 <li>
 Supports the U.S. businesses with the drafting and structuring of intragroup agreements between the Bank and its affiliates.
 </li>
 <li>
 Works closely with cross-functional teams (e.g., Global Procurement Services, Third Party Risk Management, and Compliance) and senior management, providing legal guidance on matters critical to the Bank&rsquo;s operations and strategic initiatives.
 </li>
 <li>
 Performs legal research as necessary and assists with the continuous improvements of the Bank&rsquo;s legal template and sample clause libraries, including negotiation guidelines, commercial playbooks and templates to be leveraged by internal teams.

 <li>
 Maintains an awareness of and monitors the regulatory environment for emerging legislation and policy statements, along with relevant trends and industry best practices applicable to the Bank&rsquo;s operations.
