Purpose 
Contributes to the overall success of the U.S. Legal Department by providing day-to-day legal support on a broad range of matters across multiple businesses and operations of the Bank&rsquo;s U.S. Global Banking &amp; Markets (GBM) business, with a core focus on corporate and investment banking. 
What You'll Do 
1. Provides day-to-day legal advice and support to Scotiabank&rsquo;s U.S. corporate lending and investment banking businesses, including investment grade lending, project and infrastructure finance, leveraged and acquisition finance, and M&amp;A financial advisory. 
2. Provides secondary support to Scotiabank&rsquo;s trade finance business, including letters of credit and working capital solutions. 
3. Drafts, negotiates and advises on structuring a wide range of corporate and investment banking agreements, including, without limitation, commitment papers, syndicated and bilateral loan facilities, letter of credit and reimbursement agreements, corporate guarantees, intercreditor and security agreements, sellside and buyside M&amp;A engagement letters, legal opinions, disclaimers, confidentiality agreements, and non-reliance letters. 
4. Advises stakeholders from the bank&rsquo;s LatAm network on matters with a U.S. nexus. 
5. Partners with internal stakeholders to structure products and transactions and to build robust processes for managing legal and regulatory risk. 
6. Provides legal assistance in launching and building key strategic projects and initiatives. 
7. Supports the development and maintenance of client-facing legal templates. 
8. Contributes to a customer-focused culture to deepen client relationships and leverage broader Bank relationships, systems, and knowledge. 
9. Advises internal stakeholders, including the front office and other corporate functions, in rolling out key strategic projects and new business initiatives. 
10. Analyzes legal and regulatory issues in areas of practice and provides timely and well-researched work product to clients on complex legal matters. 
11. Contributes to efficient and effective relationships with outside counsel and manages legal costs and invoices. 
12. Understands how the Bank&rsquo;s risk appetite and risk culture should be considered in day-to-day activities and decisions. 
13. Demonstrates a proactive approach to developing competency in unfamiliar practice areas. 
14. Pursues effective adherence to Scotiabank&rsquo;s Values and its Code of Conduct, while ensuring the adequacy, adherence to, and effectiveness of business controls to meet obligations with respect to operational, compliance, AML/sanctions, and conduct risk. 
What You'll Bring<ul><li> 
J.D. and licensed attorney in good standing admitted or otherwise authorized to practice law in the states of Texas and/or New York. Position to be based in Houston, Texas on a hybrid schedule.</li><li>Minimum of 4 years of legal experience advising on complex corporate lending at a money-center or large investment bank and/or large international law firm.</li><li>Prior in-house experience a plus, but not required.</li><li>Experience in one or more of the following additional areas a plus, but not required: project finance, trade finance (letters of credit and receivables finance), and mergers and acquisitions.</li><li>Experience supporting financings in the energy and/or power and utilities sectors a plus, but not required.</li><li>Working knowledge of the regulatory and compliance requirements applicable to banks.</li><li>Fluency in Spanish a plus, but not required.</li></ul>

Purpose:
Analysts in Corporate Banking enjoy a stimulating and challenging work environment in which they execute a broad range of transactions and projects. A high degree of responsibility is afforded to those demonstrating initiative and the desire to take on such responsibility. On any given project, Analysts will interact with other departments of the firm such as Debt Capital Markets, Equity Capital Markets, Global Fixed Income and Global Equity Derivatives, Commodities, FX, Transactional Banking Solutions, Risk and Portfolio Management. The breadth of interaction provides knowledge and understanding of both banking and the capital markets. 
While significant focus will be put towards client facing activities and deliverables, the role also ensures all activities comply with governing regulations, internal policies and procedures.
What You&rsquo;ll Do<ul><li>
Evaluate and analyze the financial and strategic needs of corporate clients</li><li>
Collect, consolidate, interpret and present company and industry data</li><li>
Perform comprehensive financial statement analysis including creating and maintaining financial models</li><li>
Support transaction structuring and execution efforts, with increasing levels of responsibility and accountability over time</li><li>
Identify and develop business opportunities with clients</li><li>
Prepare client presentations, including compiling data and assembling presentation materials</li><li>
Develop strong working relationships with other Corporate and Investment Banking employees, product groups and operational teams in the U.S. and in Canada to maximize productivity (CAG, WBO, GRM)</li><li>
Participate in deal discussions and formulate recommendations for the appropriate course of action based on analysis, internal credit policies/procedures, and the Bank&rsquo;s risk appetite</li><li>
Ensure work product is adhering to U.S. Leveraged Lending Policies and Procedures as well as internal Scotiabank policy</li><li>
Structure, analyze, and perform due diligence to facilitate prompt execution of transactions that vary in complexity</li><li>
Review loan documentation and communicate pertinent transaction/facility details to relevant stakeholders</li><li>
Assist with various ad-hoc tasks including conducting industry reviews, validating/providing internal compliance documentation, and updating internal reports for management</li><li>
Participate in regulatory and compliance activity and team administration</li><li>
Champion a high-performance environment and contribute to an inclusive work environment</li></ul>
What You&rsquo;ll Bring<ul><li>
A completed Bachelors Degree in Business, Finance, Math, Health Sciences or Economics</li><li>
1-2 years&rsquo; work experience in investment or corporate banking, private equity / buy-side, equity research, corporate finance, accounting, engineering or other corporate experience will be considered</li><li>
Strong quantitative skills focused on financial analysis, accounting and financial theory</li><li>
Strong written and verbal communication skills</li><li>
Excellent command of Microsoft Suite, with an emphasis on Excel and PowerPoint</li><li>
A high level of attention to detail</li><li>
Experience/ability to manage multiple projects simultaneously while maintaining a high standard of work</li><li>
The ability to excel under pressure amid demanding deadlines and perform effectively in a team environment</li><li>
