About the RoleWe are seeking a qualified and detail-oriented Company Secretary to join our consulting team. The CS will act as a key person to ensure compliance with statutory and regulatory requirements for all the clients of the organisation. The role requires strong knowledge of company law, secretarial practices, and effective communication with stakeholders.Key ResponsibilitiesCorporate Governance &amp; Compliance<ul><li>Ensure compliance with the Companies Act, FEMA, and other applicable laws.</li><li>Maintain statutory registers, records, and filings with MCA, ROC, RBI, and other regulators.</li><li>Draft and review Board resolutions, minutes of Board/Committee/General Meetings, and other statutory documents.</li><li>Advise the Board on corporate governance practices and compliance requirements.</li></ul>Board &amp; Shareholder Support<ul><li>Organize, prepare, and circulate agendas, notices, and minutes of Board and shareholder meetings.</li><li>Coordinate with clients, directors, auditors, regulators, and shareholders as required.</li><li>Ensure timely disclosures to stock exchanges (for listed entities).</li></ul>Legal &amp; Advisory<ul><li>Provide guidance on corporate structuring, mergers, acquisitions, and secretarial due diligence.</li><li>Draft and vet legal agreements, contracts, and policies.</li><li>Liaise with external legal advisors, consultants, and regulators.</li></ul>Other Responsibilities<ul><li>Handle secretarial compliance for subsidiaries, joint ventures, and group entities.</li><li>Support fundraising activities, issuance of securities, ESOP management, and related filings.</li><li>Assist in risk management, internal controls, and policy development.</li></ul>Qualifications &amp; Skills<ul><li>Qualified Company Secretary (Member of ICSI).</li><li>0&ndash;2 years of relevant experience in corporate secretarial and compliance functions.</li><li>Strong knowledge of Companies Act, FEMA, and related laws.</li><li>Excellent drafting, communication, and presentation skills.</li><li>High level of integrity, confidentiality, and attention to detail.</li><li>Ability to work independently as well as in cross-functional teams.</li></ul>Job Types: Full-time, PermanentPay: &#8377;25,000.00 - &#8377;40,000.00 per monthWork Location: In person
