Job DescriptionPosition: Company Secretary Experience: 3&ndash;5 Years Location: Head Office &ndash; Mumbai Company: Systematic Group of Companies (Systematic Industries Limited &ndash; Limited Company)<ul><li>Head Office &ndash; Mumbai</li><li>6 days working (as per company policy)</li></ul>Role PurposeThe Company Secretary will be responsible for ensuring statutory, regulatory, and corporate governance compliance for a Limited Company under the Companies Act, 2013 and applicable SEBI, MCA, and ROC regulations. The role will support the Board, Management, and Stakeholders by maintaining robust compliance, documentation, and governance standards.Key Responsibilities1. Statutory &amp; Regulatory Compliance<ul><li>Ensure full compliance with the Companies Act, 2013 and applicable rules.</li><li>Handle all ROC filings including AOC-4, MGT-7, MGT-14, PAS-3, DIR-3 KYC, INC forms, etc.</li><li>Maintain statutory registers, records, and minutes as per legal requirements.</li><li>Track due dates and ensure timely filings with MCA, ROC, and other statutory authorities.</li></ul>2. Board, Committee &amp; General Meetings<ul><li>Draft, circulate, and maintain Notices, Agendas, Minutes, and Resolutions for:</li><li>Board Meetings</li><li>Committee Meetings</li><li>Annual General Meetings (AGM)</li><li>Extraordinary General Meetings (EGM)</li><li>Ensure compliance with secretarial standards (SS-1 &amp; SS-2).</li><li>Coordinate with Directors for approvals, disclosures, and declarations.</li></ul>3. Corporate Governance &amp; Advisory<ul><li>Advise the Board and Management on:</li><li>Corporate governance practices</li><li>Legal and regulatory changes</li><li>Compliance risks and mitigation</li><li>Ensure adherence to internal policies, codes, and governance frameworks.</li></ul>4. Secretarial Audits &amp; Certifications<ul><li>Coordinate with external auditors, secretarial auditors, and consultants.</li><li>Prepare and support Secretarial Audit reports and compliance certifications.</li><li>Address audit observations and implement corrective actions.</li></ul>5. Shareholding &amp; Capital Management<ul><li>Handle matters related to:</li><li>Share allotments and transfers</li><li>Increase/reduction of share capital</li><li>Issue of shares, rights, or ESOPs (if applicable)</li><li>Maintain records of shareholders and ensure statutory compliance.</li></ul>6. Inter-departmental &amp; External Coordination<ul><li>Liaise with:</li><li>Legal advisors</li><li>Auditors</li><li>Bankers</li><li>Regulatory authorities</li><li>Support finance and legal teams on corporate documentation and approvals.</li></ul>Eligibility &amp; Qualifications<ul><li>Qualified Company Secretary (CS) &ndash; Member of ICSI.</li><li>3&ndash;5 years of relevant experience in a Limited Company / Corporate setup.</li><li>Strong working knowledge of:</li><li>Companies Act, 2013</li><li>MCA / ROC compliances</li><li>Secretarial Standards</li><li>Experience in manufacturing or group companies will be an added advantage.</li></ul>Key Skills &amp; Competencies<ul><li>Strong understanding of corporate laws and compliance</li><li>Excellent drafting and documentation skills</li><li>High attention to detail and compliance orientation</li><li>Ability to work independently and handle multiple deadlines</li><li>Professional communication and stakeholder management skills</li></ul>Reporting Structure<ul><li>Reports to: Management / Board of Directors</li></ul>Interested candidates are requested to share their CVs at rohit.patil@systematicltd.com, along with details of their current CTC, expected CTC, notice period, and reason for job change.Please note: The work location is Mulund (Mumbai).
