Additionally, this position assists the Legal Director and the legal team with various legal matters, encompassing labor, litigation, corporate, and compliance-related issues.ResponsibilitiesAs the TLS Legal and Tax Compliance Consultant, your responsibilities will include, but are not limited to:<ul><li>Support the TLS Legal Director in all legal matters, including, but not limited to, labor, corporate, compliance, and litigation.</li><li>Ensure all TLS clients meet ongoing economic substance requirements.</li><li>Lead the development of strategic roadmaps, recommendations, structuring, implementation, and strategies for clients.</li><li>Assist in sourcing and coordinating external resources to support legal or litigation needs.</li><li>Provide direct assistance to the TLS Legal Director in overseeing and supporting TLS outside counsels in any Company&rsquo;s litigation processes.</li><li>Investigate, research, and analyze a wide spectrum of legal issues and business challenges to support informed decision-making.</li><li>Liaise with TLS departments to ensure legal compliance in all TLS client structures and strategies.</li><li>Prepare and deliver presentations to clients on business strategies and organizational structures.</li><li>Answer client questions and concerns.</li><li>Gather, verify, and process client information and needs to complete all required transactions.</li><li>Interface with the client and their personnel to obtain information and deliver projects.</li><li>Monitor and document client progress.</li><li>Assist with the client&rsquo;s tax compliance needs and update the tax reports as needed.</li><li>Apply tax and legal technical knowledge to specific client situations.</li><li>Develop and draft contracts and legal documents, including but not limited to Independent Contractor Agreements, PRS Services Agreements, Buy-Sell Agreements, Membership Certificates, Redemptions and Resolutions, and Suspense and Termination Agreements.</li><li>Independently review and analyze legal documents related to ongoing litigations and assist in complex HR matters.</li><li>Perform other projects as assigned by Management.</li><li>Provide feedback to the Legal Director and TLS Manager regarding client needs and, when necessary, develop and generate strategies to address them.</li><li>Generate research and analysis of a wide range of corporate law, tax law, Uniform Commercial Code, business transactions, and legal issues.</li><li>Maintain corporate records and documents.</li><li>Create and/or document policies, procedures, and programs</li><li>Track and manage deadlines and key steps in any service or legal issues.</li><li>Structure, draft, review, and analyze reports and other legal documents, as needed.</li><li>Guide managers with grants, rules, and regulations.</li><li>Assist the Legal Director with the training of new team members.</li><li>Clearly communicate work plan and project objectives to clients and cross-functional teams.</li><li>Work as part of a cross-functional team.</li></ul>Requirements<ul><li>Juris Doctor with preferred experience in business law, tax law, and finance. Minimum 5 years of experience in a law firm, in-house, or corporate/accounting professional setting.</li><li>Possesses a high level of confidentiality.</li><li>Good problem-solving, interpersonal, organizational, and analytical skills.</li><li>Ability to multitask and work on complex projects simultaneously and see them to completion with limited supervision.</li><li>Ability to take responsibility, to work well as a team member, as well as work independently.</li><li>High level of interpersonal skills with an ability to handle sensitive and confidential situations and documentation.</li><li>Be highly driven to succeed, creative, hard-working, and adaptable to a fast-paced, high-intensity work environment.</li><li>Excellent verbal and written communication skills in English.</li><li>Strong presentation skills and ability to articulate complex information.</li><li>Ability to simultaneously work on several projects and effectively manage deadlines.</li><li>Knowledge of Puerto Rico corporate and tax law.</li><li>Highly detail-oriented with a critical degree of accuracy regarding data entry and analysis.</li></ul>Salary range posted based on candidates with a Juris Doctor and 5 to 8 years of experience.Job Type: Full-timePay: $54,400.00 - $64,500.00 per yearBenefits:<ul><li>Bereavement leave</li><li>Dental insurance</li><li>Employee assistance program</li><li>Health insurance</li><li>Life insurance</li><li>Paid sick time</li><li>Paid time off</li><li>Parental leave</li><li>Vision insurance</li></ul>Work Location: Hybrid remote in San Juan, PR 00918
